The Univar Solutions’ legal team seeks to (1) prevent problems; (2) pragmatically manage risk; and (3) enable commercial growth and success.
Primary Purpose:Reporting to our Vice President, Assistant General Counsel, North America, this position will support the team by managing the company’s foreign and domestic legal entities, including corporate records maintenance, as well as assist with a variety of corporate governance matters as assigned. We are looking for someone who can ‘roll up their sleeves’, work in a fast-paced environment, is highly organized and solution-oriented, works well both independently and in a team setting, and uses good judgment under pressure.
What You’ll Do:- Prepare and submit corporate filings with commercial registers across global jurisdictions (~ 40 countries), including annual filings, registered agent service management, and ensuring statutory requirement compliance. Maintain compliance calendar for corporate filing and reporting deadlines and ensuring timely submissions
- Manage and train a junior paralegal based in Rotterdam (EMEA)
- Create and maintain organizational documents, including articles of incorporation and dissolution, stock certificates, merger agreements, etc.
- Draft board resolutions and written consents for various corporate actions such as officer and board of director changes, dividend distribution, etc.
- Provide and prepare, when necessary, corporate documents upon request from internal departments, such as letters, powers of attorney, officer certificates, and other corporate documents
- Assist with responding to internal and external information and compliance requests (e.g. KYC requests, UBO registrations, etc.), including gathering, reviewing and providing required documentation to internal and external parties
- Coordinate the circulation, signing, notarization and legalization of a variety of commercial and corporate documents
- Maintain, organize and manage the company’s global trademark portfolio
- Collaborate with internal stakeholders across various departments on various corporate governance projects as assigned
- Assist with due diligence process related to M&A transactions and integration of new companies
- Perform other related duties as required or requested.
Education/Experience/Training:
- Bachelor’s or Associate’s degree
- 5+ years of practice experience
- Familiarity with US federal and state corporate framework; familiarity with international jurisdictions is a plus
- Paralegal certification is preferred but not required
- Notary certification preferred
- Experience using global entity management system
- Excellent computer skills
- Ability to manage and mentor junior paralegal
- Meticulous attention to detail
- Strong analytical, communication and organizational skills
- Ability to multi-task and work effectively and efficiently to meet deadlines in a dynamic and fast-paced environment
- High level of integrity supported by sound judgment and ethics
- Ability to work independently but also collaborate with teams to advance and achieve goals
Where You’ll Work:
This is a hybrid position requiring three days a week in the office in Downers Grove, IL.
Pay and Benefits:
The salary range for this position is $82,440 - $91,000. The specific salary offered to a candidate may be influenced by a variety of factors including the candidate’s relevant experience, education, training, certifications, qualifications, and work location. Available employee benefits include health, vision, and dental. We also provide 401k matching for retirement and paid time off.
