As Corporate Paralegal and Contracts Manager, you will collaborate with a dedicated group of professionals working remotely and/or at the Company’s corporate headquarters. Reporting to the General Counsel, the Corporate Paralegal and Contracts Manager will play an integral role in the day-to-day legal operations of the company and will interact with members of the Company at all levels. The role requires a self-motivated individual to own and manage organizational aspects of the legal department and to develop and maintain efficient systems that improve the level of service the legal department is able to provide to other business units. The ideal candidate for this role will have excellent attention to detail, a deep background in administrative task management, strong communication skills, and be highly organized.. we are looking to welcome a team player who is comfortable working in a fast-paced and ever-changing environment.

This role doesn’t have a set curriculum. We know some of the things we need yet more importantly we are hiring an expert who will help us become more productive and effective using their skills and experience. Maintain the lifecycle of all Company contracts in collaboration with Company employees.
Independently draft, review and process routine contracts and legal documents.
Maintain Company contract templates and update as required.
Develop and implement document naming conventions.
Interact with facility and company leadership to ensure smooth day-to-day assistance in contracting and other operational needs requiring legal support.
Maintain the official electronic files of the Company.
Maintain and file corporate records, including resolutions, board of director changes, annual reports, etc.
Provide administrative support for documents and activities related to corporate restructurings, such as mergers and acquisitions.
Assist in drafting and maintaining documents related to the development and implementation of corporate policies and templates.
Provide administrative support as needed within the Legal Department.
Draft and/or review other routine documents and contracts, as requested.
Know, understand, and follow Company guidelines, and employment policies and procedures.
Work on other projects as assigned.
Education/Experience:
An undergraduate degree, contract management experience, and paralegal experience.
Minimum five (5) years' experience managing contract files, including monitoring all aspects of files for required timely responses.
Minimum three (3) years' experience receiving, reviewing and drafting first responses to routine contract correspondence and requests with limited attorney direction.
Minimum five (5) years' experience drafting, revising, and updating contracts, such as addendums, amendments, and notices.
Experience implementing and managing a contract/document management system.
Working knowledge of corporate records, documents filed with the Secretary of State, formation of LLCs, and ability to assist and guide the preparation of annual reports.
Demonstrated ability to communicate effectively and professionally with other departments, vendors, and contracting parties with limited attorney instruction or oversight.
Superb organizational skills and meticulous attention to detail.
Must be a proven team player willing to pitch-in on projects outside of normal responsibilities.
Ability to balance workload amid interruption and change in priorities, potentially multiple times within the same workday.
Ability to work well under pressure and evolving changes within the Company.
Ability to maintain strict confidentiality regarding all Company matters.
Advanced ability to read and interpret written information and write clearly and informatively.
Advanced knowledge of Microsoft Word, Adobe Acrobat Professional, and the Google suite of products.
Exceptional interpersonal skills with a friendly, positive, and professional demeanor
Strong oral and written communication skills. Able to communicate effectively and professionally with staff and management.
Solid analytical, research, critical thinking, and decision-making skills
