Job Summary:

We are seeking a highly skilled and motivated Jr. Counsel to join Datapro. Reporting directly to the Chief Financial Officer and working closely with corporate legal department, this role offers a unique opportunity to work in a fast-paced fintech environment, providing legal support across a variety of business areas. You will work alongside various departments to drive and negotiate complex corporate transactions including license agreements, MSA, and vendor agreements; maintain strong corporate governance processes and reporting, support in the implementation of Contract Management tools, advise on legal risk and regulatory compliance in a variety of areas, and support corporate, employment and litigation matters.

Job Description:

PRIMARY DUTIES & KEY RESPONSIBILITIES

  • Contract Review & Drafting: Draft and review a broad range of contracts, including sales and business development agreements, licensing agreements, corporate governance agreements, human resources related agreements (employment contracts, vendor contracts, NDAs, etc.) and more, with extreme attention to detail. The right candidate will be able to meet with Datapro leadership to discuss business objectives and independently develop contracts demonstrating strong business alignment.
  • Lead Deal Support & Negotiations: Partner with sales and product leadership to negotiate, draft, and manage commercial agreements across key business lines — including partnerships, tech integrations, and service agreements.
  • Manage Contract Lifecycle: Proactively manage the contract lifecycle, ensuring timely execution, proper internal routing, and archiving of agreements.
  • Assisting Management Team and Vencora Legal on tracking of non-compliant legal terms and other strategic plans.
  •  Legal Research & Analysis: Conduct research on complex legal issues across corporate, regulatory, and compliance matters.
  • Cross-functional Leadership and Collaboration: Lead cross-functional projects with legal focus. Provide guidance on legal risks and best practices across departments, including product, operations, and marketing teams. Act as trusted advisor to leadership on these matters.
  • Legal Department Support: Lead day-to-day legal processes as needed. Contribute to any legal matter that arises within the organization as needed, ensuring alignment with applicable laws and regulatory frameworks.
  • Support Organizational Scale: Manage contract workflows, Contract Management tools, litigation management, board documentation, and internal policy development.
