The Manager, Governance & Legal Operations supports the governance, communication, and recordkeeping activities of Howard Energy Partners’ Board of Directors and the boards of its joint venture entities. This position ensures the accurate, timely, and confidential preparation of board materials, the smooth coordination of meetings and approvals, and the consistent maintenance of corporate records. The role also encompasses a broad range of legal operational responsibilities, including initiatives related to legal technology, workflow design, vendor management, budgeting processes, and department-wide process improvement.
Duties/Responsibilities:
- Coordinates and prepares materials for HEP and joint venture board meetings, including drafting and assembling agendas, board books, resolutions, and minutes.
- Manages tracking of board approvals and action items, ensuring all actions are properly authorized, documented, and filed.
- Serves as liaison and point of contact for board and JV directors regarding meeting logistics, calendars, travel, and correspondence.
- Assists with coordination and documentation of the annual enterprise risk assessment survey and related governance reporting.
- Maintains organized, current governance records for HEP and all subsidiaries, including charters, bylaws, LLC agreements, policies, and key contracts.
- Maintains the company’s entity management system, including preparation and filing of annual reports, certificates, and good standing renewals.
- Supports compliance with internal governance frameworks, joint venture agreements, and applicable regulations.
- Organizes and maintains corporate records such as minutes, ledgers, resolutions, and ownership records.
- Partners with Finance and Legal to manage unitholder communications, including incentive equity documentation and ownership tracking.
- Supports internal approval workflows, including maintenance of signature authority and delegation matrices.
- Coordinates inputs from multiple departments to ensure accuracy and consistency in materials submitted to boards and joint ventures.
- Assists with process improvements to enhance efficiency, accuracy, and transparency of board and JV management processes.
- Supports quarterly PAC reporting and other compliance documentation through coordination and timely submissions.
- Supports legal department operations, including closing documentation and corporate authorizations.
- Contributes to legal templates, playbooks, and standardized procedures.
- Assists with legal technology tools, reporting dashboards, workflow improvements, and matter/vendor management processes.
- Supports departmental budgeting and metrics tracking.
- Performs other related duties as assigned.

- Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook); experience with board management software (e.g., Diligent, Boardvantage, or similar) preferred.
Education and Experience:
- Bachelor’s degree required, degree in business administration, finance, or related field preferred
- Minimum 5 years of professional experience in corporate administration, legal support, or governance coordination preferred
- Experience in supporting executive-level meetings or multi-entity governance structures is strongly preferred

Physical Demands and Hazards for Office Employees:
This position requires prolonged periods of sitting, frequent computer use, occasional lifting of office supplies, and occasional travel may be required for board or joint venture meetings (up to 20%).
