About the Role

We’re looking for a senior corporate paralegal to join Flow’s legal team and own the operational backbone of how we structure the company. Flow runs a growing portfolio of U.S. entities in regulated industries and obtains a wide variety of operational permits in a variety of U.S. states. This is a great opportunity for a paralegal who wants to own the organizational structure and entity compliance at a high growth startup. We are a small, high-leverage team supporting a company that moves quickly, so you'll cover a lot of ground and be trusted to run matters independently.

Responsibilities
  • Entity management: Own the full lifecycle of entity administration — formations and dissolutions, foreign qualifications, annual reports, franchise tax filings, registered agent management, signatories, officer and director lists, post-integration cleanup.
  • KYC, UBO, and diligence: Respond to KYC/UBO and diligence requests from partners, auditors, insurers, and counterparties, and build reusable packages.
  • Commercial and cross-functional support: Assist with powers of attorney, delegations of authority, and corporate approvals needed by the business.
  • Permitting support: Assist with obtaining and maintaining our operational permits across our U.S. jurisdictions.
Ideal Background
  • 5+ years of corporate paralegal experience at a major law firm and/or in-house at a high-growth company.
  • Deep working knowledge of corporate governance, entity formation and maintenance, and corporate recordkeeping functions.
  • Demonstrated ability to independently run multiple time-sensitive workstreams without dropping threads or waiting to be asked.
  • Comfort operating in a fast-paced environment where priorities shift and processes are still being built — and a bias toward action
  • Bachelor's degree or equivalent practical experience.
  • Notary Public commission (FL or NY), or willingness to obtain one.
$150,000 - $180,000 a year
