
ProFrac Holdings (ProFrac) is an innovation-driven energy services company operating in key areas of the United States. ProFrac provides best in class hydraulic fracturing services utilizing cutting edge technologies as well as ancillary products and services for the oil field services sector. In support of its growth and strategic initiatives, ProFrac is seeking an experienced legal administrative assistant to join its growing legal team in Willow Park, Texas.
Responsibilities:
Assist with preparation of Board packets and planning of quarterly and annual meetings
Assist with governance matters, including without limitation, organizing corporate minutes for the Board and its related committees, and ensuring corporate books and records are property maintained
Secure signatures from executives and ensure appropriate documentation is maintained
Calendaring and management of key dates for the legal department such as filing deadlines, trading lockout windows, meetings and appointments.
Assist with document organization and other matters in connection with company financing transactions or mergers and acquisitions
Assist with maintenance of corporate subsidiaries and liaison regularly with the corporate registered agent
Work with other departments in support of position responsibilities such as HR, Compliance, Finance, and Investor Relations
Escalate issues to appropriate legal management as needed
Other duties as assigned by the Chief Leal Officer or other staff attorneys
Other Requirements:
Minimum of 10 years of legal administrative assistant experience, at least 7 of which is in-house with a publicly traded company with multiple operating entities
Strong PC/technical skills (Microsoft 365) required
Strong communication skills, ability to work independently or part of a team, and ability to keep a professional demeanor at all times when interacting with company executives, board members, attorneys, colleagues, and third parties
Detail-oriented and ability to maintain project deadlines under tight time constraints
Knowledge of documents and terminology related to corporate legal matters, including entity formation, legal structure, and corporate transactions (M&A, finance, etc.)
Experience with maintaining entity records, updating legal organization chart, preparing entity filings and tracking filing deadlines
Preferred knowledge/Skills/Abilities
Industry (E&P/Upstream/O&G) experience
Experience working with equity compensation grants would be a plus
Familiarity with virtual data rooms and due diligence for corporate transactions
