As a Legal Counsel supporting the Global Alternative Investment Solutions (GAIS) business, you will primarily provide expert legal advice to the Private Bank distribution business within GAIS, overseeing over $[176] billion in assets across hedge funds, real estate, and private equity. This role offers the opportunity to work closely with business leaders and control stakeholders, support new product development, and address complex legal and regulatory issues. You will play a key role in negotiating distribution engagement letters, structuring and maintaining private funds, implementing regulatory changes, and managing reputational risk, all while contributing to special projects and cross-functional initiatives.

Job Responsibilities:
- Provide legal advice and support to the GAIS group, primarily to the Private Bank distribution business.
- Advise on a wide range of legal issues related to investment management advice and products.
- Support regulatory developments, new product development, and product launches.
- Collaborate with Legal Department colleagues and control functions (Compliance, Risk) to resolve legal and reputational risk items.
- Advise on structuring, organizing, offering, and maintaining onshore and offshore private funds and funds of funds, including hedge funds and private equity funds.
- Oversee legal coverage for regulatory change implementation.
- Deliver legal support for special projects and cross-alternatives initiatives.
- Assist in developing policies, procedures, systems, and training materials.
- Provide advice for dispute resolution with counterparties.
- Engage and supervise external counsel when specialized expertise is required.
- Perform additional duties as assigned to ensure high-quality legal support for the line of business.
Required Qualifications, Capabilities, and Skills:
- Excellent academic record.
- Minimum 8 years of relevant experience in a law firm, financial institution, and/or comparable environment.
- Expert knowledge of onshore and offshore private funds, Investment Advisers Act, fund formation, and fund transactions.
- Licensed attorney in good standing in the relevant state/jurisdiction or compliant with in-house counsel registration rules.
- Strong interpersonal, analytical, problem-solving, and organizational skills.
- Superior verbal and written communication abilities.
- Demonstrated legal analytical, drafting, and negotiation skills.
- Excellent judgment and decision-making capabilities.
- Proven ability to work independently and prioritize multiple projects.
- Proactive, dynamic team player with a solutions-oriented mindset.
- Willingness to learn new areas of law.

- In-house experience in addition to law firm experience.
- Strategic skills to anticipate legal issues across diverse business models.

- Experience developing policies, procedures, and training materials.
- Track record of successful collaboration with business and control functions.
- Ability to supervise and manage external counsel effectively.
- Experience resolving disputes with counterparties.

Attorneys must be licensed to practice law and a member in good standing or otherwise eligible to practice law in the jurisdiction in which the position is based.
