Job Description

Remote Hybrid: Persons in these roles are expected to spend part of their time on-site in our Seattle offices and may occasionally work remotely from their home in the Greater Seattle area. You are an agile thinker who is energized by creative problem solving and building things.  You enjoy reviewing and negotiating a broad range of contracts involving technology, services, and day-to-day operations. You are able to listen to a group’s business needs, identify priorities, and maximize business results. You are able to juggle competing demands from many interested and energetic stakeholders.

Who We Are: 

We are an existing legal team of two lawyers and one contracts and procurement manager. We are collegial and collaborative. We like to make up fun project names for our strategic initiatives. We work in a hybrid setting and like to collaborate in person. We all work with a large amount of autonomy. As a team, we are slightly more pro-dog than pro-cat. We are passionate about Ai2’s mission.

Your Next Challenge:

The essential functions include, but are not limited to the following:

  • Review, draft, and negotiate a wide range of standard procurement and operations agreements, such as NDAs, vendor services, IT, software/SaaS, hardware, facilities, and  events
  • Prepare exploratory and strategic agreements for various projects and initiatives, including MOUs, data sharing, and collaboration agreements
  • Review and draft product EULAs, terms of use, and related documentation
  • Create and improve contract templates
  • Review open source licenses for software and AI projects
  • Provide support across Ai2’s activities ensuring that legal issues, contracts, disputes, and complex transactions are conducted within the due diligence of the legal framework

What You’ll Need:

Education/Certifications

  • Minimum Degree required: JD
  • Licensed to practice law in Washington State

Required

  • 3+ years of transactional experience in a law firm or corporate environment
  • Proficiency in technology transactions, including software and IP licensing
  • Self-starter: Does not need daily directions or close supervision to make decisions
  • Skilled in working with ambiguity
  • Start-up mentality; adaptable, can pivot quickly
  • Comfortable identifying and solving for risks 
  • Ability to adjust rapidly to new strategies and approaches for building support in a fast-moving environment
  • Excellent presentation and facilitation skills: polished, concise, catered messages to different audiences
  • Ability to build strong relationships with leaders at all levels to obtain successful outcomes and move the business forward
  • Google Suite product experience
  • Ability to work on complex issues where problems are not clearly defined and where fundamental principles do not fully apply

Preferred

  • Experience and/or interest in project management to establish or improve processes and streamline legal team efforts with existing workflows in the company
