Job Summary:

Unison Risk Advisors is seeking a highly skilled and experienced attorney to join our dynamic legal and compliance department. This role is pivotal in providing strategic legal counsel and support for Mergers & Acquisitions (M&A) and other commercial and regulatory matters. The ideal candidate will have a background in M&A and commercial law, with a proven track record of advising on complex transactions and mitigating risks. As a key member of our legal team, you will collaborate with internal stakeholders and external partners while fostering a consultative and collaborative environment. Your expertise will be instrumental in driving the company's growth and achieving our business objectives.

Key Responsibilities:

  • M&A Transaction Support:
    • Lead and manage all legal aspects of M&A transactions, including structuring deals, overseeing due diligence, and drafting and negotiating transaction documents.
    • Collaborate with cross-functional teams, including finance, operations, and human resources, to ensure seamless integration of acquired entities.
    • Provide strategic legal advice on potential acquisitions, mergers, joint ventures, and divestitures, ensuring alignment with the company's growth objectives.
    • Identify and assess process improvement opportunities in the company’s M&A strategy, processes, documents, and partnerships.
  • Commercial:
    • Draft, review, and negotiate a wide range of commercial contracts, including SaaS, carrier/insurance intermediary, vendor, and client agreements.
  • Risk Management and Compliance:
    • Advise on critical risks in M&A transactions, and business operations.
    • Work with director of compliance and compliance department on identifying,  assessing, and mitigating organizational risks.
    • Monitor changes in laws and regulations that may impact the company's operations and provide proactive legal guidance.
  • Collaboration and Consultation:
    • Foster a collaborative and consultative environment, working closely with internal stakeholders and external partners to achieve business objectives.
    • Provide training and guidance to internal teams on legal matters related to M&A and commercial matters.
  • Strategic Legal Counsel:
    • Develop and implement legal strategies that support the company's growth and expansion plans.
    • Provide proactive legal advice on a wide range of issues, including corporate matters, regulatory compliance, and risk management.
    • Support the company's strategic initiatives by identifying and addressing legal challenges and opportunities.
    • Perform other job duties as assigned.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the state bar.
  • Strong corporate law background.
  • Excellent analytical, negotiation, and communication skills.
  • Ability to work independently and as part of a team.
  • High level of integrity and professional ethics.

Preferred Qualifications:

  • Experience in a corporate environment.
  • Proven track record of advising on complex M&A transactions.
  • Ability to manage multiple projects and priorities effectively.
