Scope:The Legal & Funds Analyst will work with the Firm’s Legal & Compliance teams on a variety of legal matters to support the Firm’s investment platform, including the launch of new funds, deal closings and any associated regulatory requirements. The Legal & Funds Analyst will administer the formation and on-going management of legal entities in connection with new fund offerings and deal closings, which will include associated fund and/or entity level filings (annual reports, CTA, blue sky, Form D, FDI, and foreign subsidies) and be the main point of contact between the Firm and third party vendors related to entity management. BDT & MSD is looking for an individual who demonstrates a high level of personal and intellectual integrity, curiosity, ability to build strong relationships, and proactively contribute to the team
Primary Responsibilities:- Assist with the formation of new entities and drafting of underlying operating agreements relating to general firm matters and fund launches.
- Maintain and monitor entity management platform to ensure key data points are input in a timely fashion and kept up to date (including but not limited to, officers and directors, formation date, jurisdiction, etc.).
- Act as the main point of contact with the Firm’s registered agent and correspond with fund counsel on an on-going basis.
- Assist in Cayman board governance workstreams.
- Assist in fund compliance matters, side letter compliance and implementing and monitoring fees and expense provisions.
- Implement new processes and creating operational efficiencies for entity creation and fund closings.
- Assist in fund, transactional and/or entity level filings (e.g., antitrust/competition filings, annual reports, CTA, blue sky, Form D, FDI, foreign subsidies).
- Support and collaborate with various business groups including investment professionals, transactional legal, finance, investment operations, marketing and tax.
- Assist with tracking NDAs, destruction notices and other items.
- Assist in other legal matters to support the firm as part of the broader legal team (e.g., fund interest transfer agreements, etc.).
Basic Qualifications:
- Bachelor’s degree with an excellent record of academic achievement
- 1-2 years of experience in a related field (at an SEC Registered Investment Advisor or Law Firm)
- Demonstrated interest in financial markets
- Ability to think critically and solve challenges with innovative solutions
- High ethical standards

- Ability to perform at a high-level within a fast paced, entrepreneurial culture with a focus on excellence
