 Corporate Attorney (Hybrid)

About the Opportunity We are partnering with a well-regarded, full-service law firm in the Los Angeles area to place a talented Corporate & Transactional Attorney. About the Role As a member of the Business Transactions & Corporate Law Practice Group, you will work closely with partners and senior attorneys on a wide range of corporate and transactional matters, representing businesses ranging from emerging companies to established enterprises across various industries.

Key Responsibilities

  • Draft, review, and negotiate a variety of commercial contracts, including purchase agreements, operating agreements, shareholder agreements, and joint venture agreements
  • Advise clients on general corporate governance, entity formation, and business structuring
  • Assist with mergers, acquisitions, and other complex business transactions
  • Conduct due diligence and manage transaction timelines
  • Provide ongoing corporate counsel to a diverse client base
  • Draft and review NDAs, licensing agreements, and other commercial contracts
  • Collaborate with attorneys across practice groups including real estate, employment, and litigation
  • Stay current on developments in corporate law and regulations affecting clients

Qualifications

  • 3+ years of corporate and/or transactional experience at a law firm
  • Active California Bar admission required
  • Strong transactional drafting and negotiation skills
  • Excellent legal writing, research, and analytical skills
  • Strong verbal and written communication skills with clients and colleagues
  • Proficiency in Microsoft Office (Word, Outlook, Excel) and legal research platforms
  • Exceptional organizational skills with the ability to manage multiple transactions simultaneously
  • Must be able to pass a background check
