Pay:                                      $120,000 – $140,000 (Boulder, CO; Washington, DC; Portland, OR; Seattle, WA); $100,000-$120,000 (Madison, WI)

Position Objective:

OneEnergy is adding a senior level paralegal with commercial real estate and title experience to our legal team.  This is a full-time, permanent position available for an in-house paralegal with experience related to transactional real estate matters.

The paralegal is responsible for managing the commercial, title, survey, and legal support work in developing, constructing and selling solar energy projects across the United States. This role works cohesively and collaboratively with the company’s in-house legal team and across other companywide functional teams, including Development, Delivery, Operations, Finance and Accounting.

Responsibilities:

  • Review and prepare undeveloped real property lease agreements and the related memorandum of lease agreements.
  • Reviewing, requesting, and ordering real property title searches, title reports, title commitments, surveys and due diligence searches, with an emphasis working with the title company to clear title exceptions.
  • Assist with maintaining electronic files and due diligence data rooms.
  • Coordinate project sale closings with all parties in the transaction, including the buyer, seller, title insurance company, opposing counsel, and lender.
  • Review lease options and leases for assignment and prepare assignment and amendment agreements for contracts and leases.
  • Obtain and prepare corporate documents, including authorization of the applicable parties to purchase/sell.
  • Conduct public record searches of parties, including judgment, tax liens, and UCC filings.
  • Prepare closing documents, including transfer documents, affidavits of transferors and closing certificates.
  • Review and analyze property surveys. Prepare documentation to assist with resolving survey and related title issues.
  • Track and evaluate state and local policy, incentives and regulations impacting renewable energy property tax rates.
  • Support the development team in property tax negotiations and abatement.
  • Embody company values and adopt best practices regarding use of company systems and process, management and leadership, collaboration, and mentoring.

Requirements:

  • A post-baccalaureate paralegal certificate or associate’s degree in paralegal studies and/or a paralegal certificate from a state bar association or an association of legal assistants, or equal.
  • 10+ years of experience as a real estate paralegal required; an emphasis on development or purchase and sale of unimproved property and title insurance and survey-related work preferred. 
  • Experience in reviewing and preparing real estate related contracts and ground leases, together with assignment, consent, non-disturbance, and other related documentation.
  • Experience in drafting simple amendments to a myriad of real estate project documents.
  • High level of experience with national title searches, national lien searches, UCC filings, and other matters related to real-estate transactions.
  • Must demonstrate a high degree of time management and organizational skills resulting in the ability to prioritize/manage multiple projects at various stages of delivery.
  • Demonstrated track record of success in real-estate related paralegal work, with an emphasis on development of unimproved real property and title insurance related work.
  • Strong track record of successful collaboration with internal and external stakeholders
  • Creative problem-solving skills matched with strength in executing under pressure.
  • Self-motivated with proven ability to take ownership, initiative, and accountability.
  • Strong attention to detail with a high level of integrity and organizational capacity to manage multiple projects simultaneously.
  • Excellent interpersonal communication skills, both oral and written.
  • Ability to manage competing priorities often across functional and operational lines.
  • Must have a “roll up your sleeves and let’s get the job done right” type attitude.
  • Demonstrated qualities of integrity, credibility, and fiduciary responsibility.
