POSITION OVERVIEW

The Mergers and Acquisition (M&A) Legal Counsel III plays a key strategic and advisory role in managing and executing complex domestic and international M&A transactions, joint ventures, divestitures, and other strategic corporate initiatives. This senior-level attorney provides expert legal guidance throughout the deal lifecycle—from due diligence and structuring to negotiation, documentation, and post-closing integration.

Location: This position requires on-site work at Gentex facilities. This role is not eligible for remote work.

WHAT YOU’LL DO

  • Lead legal due diligence processes for acquisitions, divestitures, and other strategic transactions, identifying potential legal risks and mitigation strategies.
  • Draft, review, and negotiate complex transaction documents, including term sheets, purchase agreements, joint venture agreements, and disclosure schedules.
  • Advise internal stakeholders on legal, regulatory, and compliance considerations throughout all phases of M&A and strategic deal execution.
  • Collaborate with corporate development, finance, tax, HR, and business unit leaders to align deal structure and terms with company objectives.
  • Manage external legal counsel to ensure cost-effective, timely, and high-quality legal support for domestic and international transactions.
  • Support integration planning and execution post-closing by advising on contractual obligations, providing transitional services, and coordinating with other internal legal counsel.
  • Ensure transactions comply with applicable laws, including antitrust, securities, labor, and industry-specific regulations.
  • Provide legal risk assessments and recommend practical solutions that balance business needs with legal protection.
  • Contribute to the development and continuous improvement of M&A processes, templates, and legal playbooks.
  • Monitor and interpret legal and regulatory developments that could impact future M&A activity or strategic planning.
  • Other duties as assigned.

  • Complying with all Company policies and procedures, safety regulations, company safety policies and safely perform all duties, including but not limited to, promoting a safe workplace.

WHAT TO BRING

  • Juris Doctor (J.D.) from an American Bar Association (ABA) accredited law school and good standing member of state bar (Michigan preferred).
  • 7+ years of relevant legal experience, with a strong focus on mergers and acquisitions, preferably at a top-tier law firm and/or in-house legal department.
  • Demonstrated expertise in structuring, negotiating, and closing complex domestic and cross-border M&A transactions.
  • In-depth knowledge of corporate law, securities law, and relevant regulatory frameworks.
  • Proven ability to manage multiple deals and competing priorities in a fast-paced environment.
  • Strong analytical, drafting, and negotiation skills with exceptional attention to detail.
  • Willingness to travel as needed to support transaction execution and integration activities.
  • Excellent communication, business writing and organizational skills.
  • Proficiency in Microsoft Office Suite.
     

WHAT WILL HELP

  • Prior in-house legal experience within a corporate M&A or strategic transactions team.
  • Familiarity with international deal structures, foreign investment regulations, and cross-border compliance considerations.
