
We offer an exciting opportunity to join our Americas Regional Legal team, providing essential legal support across a broad range of commercial and corporate matters. In this role, you will be responsible for contract review and negotiation, claims support, company secretarial duties, and other legal tasks to help ensure compliance and mitigate risk for the organization. Initially, the focus will be primarily on our business in the US and Canada. As you gain experience, your scope will extend to cover our Latin American operations. You will also play an active role in our ongoing Legal Affairs transformation projects, contributing to the development and improvement of legal processes and tools. - Review Non-Disclosure Agreements (NDA’s) and add-ons (addenda), with a focus on identifying common pitfalls and incorporating tariff-related changes. Training will be provided.
- Conduct initial review and redline of standard commercial and sourcing agreements.
- Review offers and purchase orders, track contract execution progress for services and equipment projects.
- Support contract negotiations by acting as a contract administrator—tracking changes, managing document versions, and ensuring consistency during complex negotiations.
- Draft initial sections of settlement and termination agreements, including “whereas” clauses and background context to facilitate timely finalization.
- Support claims management by gathering background information from commercial and services teams and making an initial legal assessment of the claim, locating relevant agreements, reviewing remedies, and assisting with Finance reporting tools.
- Provide basic legal consultancy by responding to common legal inquiries and conducting legal research as needed.
- Perform company secretarial duties such as drafting annual shareholder and board resolutions, delegations of authority, and preparing documentation for execution.
- Assist with dissolution and liquidation processes, including drafting resolutions and compiling necessary documentation.
- Prepare training materials and assist in delivering legal training sessions.
- Other areas of support may include:
Transformation: Work with the Legal Affairs team worldwide to define, oversee, and report on existing and future transformation projects.
Trade Compliance: Support trade compliance initiatives as needed.
Level of Education and Language:
- Juris Doctor (JD) degree from an accredited law school. Alternatively, legal degree from a foreign country, an LL.M. from an ABA-accredited law school, and membership in a State Bar within the United States.
- Fluent English is mandatory, Spanish is a plus.
Level of Skills and Experience:
- 1-2 years of legal experience, preferably in corporate, commercial, or in-house legal roles.
- Familiarity with contract law and corporate governance preferred.
- Strong attention to detail and ability to manage multiple tasks simultaneously.
- Strong analytical, problem-solving, and decision-making skills.
- Excellent written, verbal, and communication skills.
- Ability to work independently and collaboratively with cross-functional teams.
- Proactive approach to learning and problem-solving.
- Experience in the manufacturing or packaging industry is a plus but is not required.
- Proficiency in Word, PowerPoint, and Outlook is mandatory; intermediate proficiency in Microsoft Excel is preferred.
