We own and operate a portfolio of traditional and low-carbon energy infrastructure assets that are strategically positioned to serve current and future energy needs. We are looking for a self-motivated attorney to join our legal team as Senior Counsel – Commercial & Regulatory. This position will provide primary legal support for HEP’s commercial activities, including commercial contract drafting and commercial regulatory compliance oversight. Our ideal candidate would have experience with midstream commercial transactions and the management of regulatory compliance for midstream assets, an ability to promote commercial regulatory compliance through ongoing compliance monitoring and through collaborative commercial transaction structuring with HEP’s commercial teams and would possess an ability to work in a fast-paced, dynamic environment. This position will be located in our corporate headquarters in San Antonio, Texas or our office in Houston, Texas and will report to our Assistant General Counsel.
Primary Duties/Responsibilities:
- Commercial Contracts: Negotiate and document commercial midstream transactions related to the gathering, processing, transportation and storage of natural gas and liquid energy products.
- Regulatory Compliance: Provide critical advice to ensure HEP’s commercial operations remain in compliance with federal, state and local regulations affecting the midstream oil and gas industry, including FERC regulation of intrastate natural gas pipelines pursuant to Section 311 of the National Gas Policy Act of 1978.
- Litigation Support: Assist in managing and coordinating litigation matters, working closely with external counsel when necessary.
- Corporate Development: Conduct legal research and due diligence to support business development initiatives, acquisitions, and investments.
- Risk Management: Identify potential legal and regulatory risks and collaborate with internal teams to develop strategies for risk mitigation.
- Training and Education: Assist in developing training materials for internal teams on legal and compliance topics relevant to the industry.
Skills and Qualifications
- Juris Doctor (J.D.) degree from an accredited law school
- Active bar membership and good standing
- 5+ years of legal experience, preferably with a focus on midstream oil and gas commercial transactions and commercial regulatory matters.
- In-depth knowledge of federal and state regulatory frameworks affecting the midstream energy sector.
- Living in or willing to relocate to San Antonio or Houston, Texas.
- Ability to prioritize conflicting demands and work under tight deadlines.
- Ability to develop and sustain positive relationships with internal and external clients and customers.
- Strong analytical, oral and written communication skills.
- Ability to work independently with minimal supervision.
- Enthusiasm for a collaborative team environment.
