Key Responsibilities

  • Lead and support sell-side M&A transactions, frequently opposite private equity buyers or PE-backed acquirers.

  • Advise clients across industries, with strong exposure to healthcare and defense contracting transactions.

  • Provide occasional support for hospital and healthcare regulatory matters when needed.

  • Draft, review, and negotiate key transactional documents, including purchase agreements, disclosure schedules, and ancillary agreements.

  • Conduct due diligence and deliver practical, commercially aligned guidance throughout the transaction lifecycle.

  • Collaborate closely with partners and senior attorneys on deal execution and ongoing client relationships.

  • Provide solutions-oriented legal advice that matches clients’ business objectives.

  • Ability to work both independently and collaboratively.

  • NY or FL bar strongly preferred (or ability to obtain admission).

Compensation & Benefits

  • Base Salary: Starting at $200K+

  • Bonus: Performance-based, typically 10–20%
