Key Responsibilities

Lead and support sell-side M&A transactions, frequently opposite private equity buyers or PE-backed acquirers.

Advise clients across industries, with strong exposure to healthcare and defense contracting transactions.

Provide occasional support for hospital and healthcare regulatory matters when needed.

Draft, review, and negotiate key transactional documents, including purchase agreements, disclosure schedules, and ancillary agreements.

Conduct due diligence and deliver practical, commercially aligned guidance throughout the transaction lifecycle.

Collaborate closely with partners and senior attorneys on deal execution and ongoing client relationships.

Provide solutions-oriented legal advice that matches clients’ business objectives.

Ideal Candidate Profile

6+ years of corporate transactional experience (sell-side M&A strongly preferred).
