Our Law Dept, International Division is seeking a Corporate Paralegal Law Dept Operations Manager to support managing filing and maintaining annual corporate governance documents and support law department operations.
SUMMARY DESCRIPTION
·Global subsidiary management; project manage vendors and functions for compliance filings
·Project manage vendors/law firms that support corporate secretarial services
·Manage law department operations: contracts management, website updates, manage Teams and Sharepoint sites,
·Managing invoices and budgets for consultants and outside counsel
SUPERVISION RECEIVED
Under direct supervision of General Counsel, International.
ESSENTIAL DUTIES AND RESPONSIBILITIES
To perform this job successfully, an individual must be able to perform each essential duty satisfactorily.- Manage Legal operations: project manage implementation and adoption of new CLM system, develop workflows, support template consolidation and improvements
- Develop operational improvements for Law and Compliance Dept; leverage technology and work proces
- Manage activities and documents for annual corporate governance compliance of 50+ global corporate subsidiaries in Asia Pacific, Europe, Middle East, Canada, Latin America
- Manage vendor of corporate subsidiary services to track annual compliance requirements, prepare documents, interact with senior executives to complete documents and signatures.
- Interact with multiple functions, Tax, Finance, Commercial Sales, Audit, etc., to gather information, prepare documents and coordinate filings.
- Support board and shareholder resolutions, meeting minutes, correspondence
- Maintain and update databases, internal Law websites, corporate letterheads.
- Track budgets and invoices with outside vendors; interact with Procurement and Accounts Payable
The requirements listed below are representative of the knowledge, skill, and/or ability required for this position.
- Education: college/university 4year degree
- Type and Number Years of Experience: minimum 5 years in a law firm or corporate law department setting with experience in corporate secretarial activities, corporate compliance.
- Language skills: English fluent (written and verbal)
- Computer Skills: Proficient in MS Office suite (Word, Excel, PowerPoint, Outlook, Teams), CLM software and workflows and e-signature tools. Oracle and database management skills preferred.
- Other Skills: Excellent communication and organizational skills. Able to understand, prioritize and track daily and long-term tasks; understand annual corporate compliance activities; pro-active efforts to problem-solve and communicate with colleagues; team player, able to work across global organization in high energy and fast paced environment; work independently and proactively handle issues and engage colleagues; eager to learn and apply new information, skills and procedures; must be adaptable to a changing environment and business objectives.
- Working hours: generally, 9-5pm EST, 5days with 3 days (Tuesday, Wednesday, Thursday) in Integra’s Princeton office; some flexibility to attend calls to accommodate International time-zones.
