The Investment Sales team is recognized nationwide for its expertise, providing asset-specific customization that yields highly effective transaction strategies. Tapping into our proprietary database, each advisor has real-time access to unique market intelligence, driving demand and matching each client’s assets to a diverse group of investors, from private and institutional owners to global investors. Investment Sales advisors work closely with the Debt & Structured Finance team on loan origination, underwriting, closing, life-of-loan servicing and asset management. This experienced team provides clients with innovative and comprehensive solutions by accessing a full suite of debt products, including Fannie Mae, Freddie Mac, FHA, Bridge, Life Company, Bank and CMBS products.

Job Summary:

Serve as lead legal counsel for Newmark's Multifamily Capital Markets business and provide legal advice to internal clients on a broad range of legal matters. The preferred location for this position is Bethesda, MD but other locations will be considered.



Responsibilities

Essential Job Duties:

· Provide legal guidance related to the production, underwriting, closing, servicing, asset management and special servicing operations for matters (i.e. the purchase of multifamily loans, including negotiation of contracts/commitments for the purchase of loans and the terms of loans documents, securitization of mortgages, loan workouts, etc.)

· Collaborate with legal teams to ensure consistency of legal advice and negotiating positions

· Partner with the business units in managing all licensing, compliance, insurance renewals, and regulatory filings

· Prepare/negotiate contracts and agreements (e.g. broker and correspondent agreements, originator contracts, master and subservicing agreements, partnering agreements, etc.)

· Ensure corporate governance responsibilities are carried out including, but not limited to maintenance of company records, signature authorities, legal entity filings, etc.

· Manage outside counsel, including in transactional, corporate, and litigation matters

· May perform other duties as assigned



Qualifications

Qualifications:

· Minimum of seven years of legal experience

· Juris Doctor (JD) degree; membership in good standing in a state Bar

· Experience in commercial real estate finance with a law firm or corporate law department, including primary responsibility for negotiating and closing transactions (both individual loans and pools of loans);

· Familiarity with common commercial real estate lender-borrower issues and ability to quickly negotiate resolution of the same

· Ability to create and maintain strong collaborative relationships with clients

· Ability to develop and maintain cooperative internal and external relationships

· Ability to work comfortably and routinely as part of a team and to collaborate across organizational boundaries

· Ability to organize and prioritize multiple pending matters

· Experience with Microsoft Word, Outlook and Excel

 

Preferred Skills:

· Knowledge of the customary legal relationships, legal issues, and closing practices required with purchases of multifamily mortgages by investors and securitization of commercial real estate mortgages

· Familiarity with documenting primary, master and special servicing engagements for securitization and balance sheet assignments

· Experience with structured finance transactions

· Agency/secondary mortgage market multifamily loan origination experience
