Position Title: Paralegal

Position Summary:
The Paralegal provides direct support to the General Counsel in managing a broad range of legal matters across employment, contract, business, and healthcare law. This position is responsible for preparing and reviewing legal documents, conducting research, supporting regulatory and compliance initiatives, and coordinating with internal departments to ensure legal processes are executed effectively. The Paralegal plays a key role in maintaining contract lifecycle management, supporting transactional activities such as mergers and acquisitions, and assisting with litigation and external counsel coordination. This role supports the Legal Department’s overall mission to reduce risk, ensure compliance, and enable operational efficiency across the organization.
Essential Duties & Responsibilities:
- Provide direct support to the General Counsel on legal issues involving employment law, contract negotiation, business transactions, and healthcare regulatory matters.
- Draft, review, and maintain legal documents including service agreements, vendor contracts, employment agreements, NDAs, and business associate agreements.
- Conduct legal research and prepare summaries, memoranda, or reference material across employment, business, and healthcare law topics.
- Assist in corporate transactions including mergers, acquisitions, divestitures, and asset sales by managing due diligence documentation, preparing schedules, and tracking key deliverables.
- Monitor federal and state legal developments and regulatory requirements, especially those impacting healthcare operations and employment practices.
- Manage legal files, contract lifecycle tracking, renewal calendars, and regulatory reporting tools.
- Coordinate with internal departments to support legal documentation, audits, and contractual matters.
- Support litigation preparedness, responses to subpoenas, and correspondence with external counsel and regulators.
- Maintain confidentiality and a high standard of professionalism in all interactions and documentation.
Qualifications
Qualifications & Requirements:
Education Licenses/Certifications:
- Associate’s or Bachelor’s degree required.
- Paralegal Certificate from an ABA-approved program preferred.
- Paralegal certification and/or notary public commission is a plus.
Experience:
- Minimum of 5 years of paralegal experience with a focus in employment law, contract law, business law, or healthcare law.
- Direct experience supporting in-house counsel, ideally in a healthcare organization or law firm with corporate clients.
- Familiarity with legal processes related to mergers, acquisitions, and asset sales, including due diligence and transactional document support.
- Experience with regulatory matters and legal risk mitigation in a fast-paced, compliance-driven industry.

- Strong legal writing, editing, and research skills.
- Exceptional organization, task management, and attention to detail.
- Proficiency in legal research databases (e.g., Westlaw, LexisNexis), Microsoft Office, and contract management platforms.
- Ability to manage multiple priorities under tight deadlines while maintaining accuracy and professionalism.
- Excellent interpersonal communication skills; able to work collaboratively across departments and with external counsel.
- Sound judgment, discretion, and a proactive mindset in handling confidential and sensitive information.
