Job Description

PURPOSE

Provides legal and administrative support to In-House Counsel and ensures the efficient operation of the legal department by assisting with legal research, document preparation, regulatory compliance, and other legal and administrative tasks to support the Cooperative.

RELATIONSHIPS

  • Reports to In-House Counsel and, as designated, other employees of the Cooperative.
  • Coordinates with the Cooperative's outside General Counsel as directed.
  • Collaborates with all persons within the Cooperative to effectively fulfill the responsibilities of the position.
  • Engages with state and federal agencies/courts, other attorneys, lending institutions, insurance companies, contracted parties, landowners, the Cooperative's members, and other entities/persons outside of the Cooperative.

DUTIES, ROLES AND RESPONSIBILITIES

The ability and willingness to function at various levels with a high degree of teamwork, flexibility, and professionalism are imperative. This includes, but is not limited to, the following:

  • Assisting In-House Counsel with preparing, reviewing, and organizing legal documents, including contracts, policies, compliance reports, and correspondence.
  • Conducting legal research and summarizing findings to assist in decision-making and legal strategies.
  • Managing and maintaining legal files and records, including ensuring proper documentation for contracts, board policies, and other legal matters.
  • Supporting contract management processes, including reviewing contracts for accuracy, tracking contract deadlines, and ensuring compliance with Cooperative policies.
  • Assisting with risk assessments, compliance reviews, and internal audits by gathering and organizing relevant information and documentation.
  • Preparing and maintaining reports, summaries, and other materials required for board meetings, legal proceedings, or regulatory filings.
  • Coordinating with external counsel to provide necessary documentation, information, or assistance for litigation, regulatory hearings, or other legal matters.
  • Managing administrative tasks such as scheduling meetings, tracking deadlines, and maintaining calendars for legal department activities.
  • Communicating effectively with internal and external stakeholders, including employees, members, and outside entities, to ensure the timely and accurate exchange of legal information.
  • Maintaining the highest degree of confidentiality regarding all Cooperative, member, or employee information handled in the course of work.
  • Assisting In-House Counsel with dispute resolution processes, including preparing summaries or documentation for mediations, negotiations, or arbitration.
