The Office of Legal and Risk oversees all aspects of legal compliance and risk management throughout the Organization. We are a small and mighty team and are called on to provide advice on a wide variety of legal issues across the Organization.  As we continue to grow our team, we are seeking a highly skilled and experienced Associate General Counsel to join our team. The ideal candidate must have a strong and proven track record in nonprofit law, charitable fundraising and gifts, contract drafting and negotiations, HR, corporate governance, enterprise risk management and compliance and other areas as assigned. Experience with scientific research grant-making and global health initiatives are a plus.  This role will involve providing legal advice and support across a range of areas to ensure compliance in support of the Organization and our mission, and therefore, you must be able to work across all departments and levels of the Organization to deliver sound and consistent advice that is right-sized for the issue.

Key Responsibilities:

  • Independently draft, review and negotiate all types of agreements, including donor agreements, independent contractor agreements, scientific industry and research grants, IT agreements, hotel agreements, etc.
  • Support fundraising efforts by advising on legal aspects of fundraising campaigns, donor agreements, sponsorships, charitable fundraising, CCVs and general regulatory compliance.
  • Provide guidance on nonprofit tax issues, including tax-exempt status, charitable contributions, lobbying and general compliance with IRS regulations.
  • Advise on corporate governance matters, ensuring compliance with bylaws, applicable laws and regulations, and supporting the Board of Directors and executive leadership.
  • Independently assess risk areas including legal risk, institutional risk, compliance risk, and reputational risk and effectively strategize with critical stakeholders in order to mitigate and minimize exposure.
  • Collaborate with internal stakeholders to update, develop and implement policies and procedures that align with the Organization's goals and legal requirements including enterprise risk management.
  • Conduct legal research and stay current on relevant laws and regulations to provide proactive legal advice.
  • Manage and oversee external legal counsel as needed.

In this Role You will:

  • Serve as a strategic thought partner and advisor to the Chief Legal and Risk Officer and others on critical legal issues that impact the Organization and its various constituencies.
  • Deliver clear practical advice that enables our business partners to achieve their objectives to mitigate legal risk.
  • Effectively collaborate with colleagues within the Office of Legal and Risk and throughout the Organization and foster relationships to be a trusted adviser.
  • Develop and provide in person and online training to staff and governance in legal and compliance matters.
  • Proactively provide creative and innovative legal advice and problem solving and make recommendations on administrative and organizational processes to improve operational efficiency and effectiveness of the Office of Legal and Risk.
  • Be able to expeditiously recognize complex and nuanced legal issues, weigh and evaluate complicated information, and utilize both facts and law in developing legal arguments and alternative positions.
  • Work closely with outside counsel where appropriate to obtain cost-effective, business-orientated legal advice.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the bar in at least one jurisdiction.
  • Minimum 10-15 years of nonprofit legal experience is required.
  • Work effectively and efficiently both independently and as part of a team in a sensitive and fast-paced environment.
  • Excellent communication and presentation skills (written and oral).
  • Excellent legal research and analytical skills.
  • Strong organizational skills and attention to detail.
  • Commitment to the mission and values of Breakthrough T1D.
  • Ability to travel 15% of the time
