
Job Summary
Integrity is seeking an experienced and skilled Corporate Paralegal to join our in-house legal department. The ideal candidate will have extensive experience in drafting, reviewing, preparing and organizing corporate documents, either in a law firm or in-house setting. The candidate will also assist with ongoing entity management and annual Secretary of State filings. The ideal candidate is confident, detail-oriented and responsive.
Primary Responsibilities:
- Prepare, draft and distribute corporate documents, including confidentiality agreements, corporate consents, corporate documents, commercial letters, award agreements and other corporate documents
- Maintain an organized record and continuously track the status of wide volume of documents
- Project management and strong organizational skills, including following up with the appropriate parties as necessary to bring a document or project to conclusion
- Cooperate with business teams internally to track performance of award agreements and prepare confirmation letters
- Populate and keep up to date systems and management tools to ensure up to date and strong record-keeping
- Coordinate with various stakeholders within the company to ensure that important timelines are met and any issues are properly addressed
- Coordinate internally with the internal licensing team and internal stakeholders for appropriate entity management and secretary of state filings
- File annual and ongoing secretary of state filing and reports for legal entities
Requirements:
- Strong background in corporate legal work, including with reviewing and drafting corporate documents
- Familiarity with using software to keep track of documents
- Strong organizational skills
- Responsive and proactive; willing to jump on tasks upon instruction quickly and with strong attention to detail
- Excellent written and communication skills
- Ability to identify, initiate and conclude strategic objectives in a collaborative, team-based environment
- Ability to think and analyze critically and have the confidence to collaborate accordingly with the right stakeholders to get to the right answer
- Excellent time management given multiple time demands
- Must have ability to prioritize with good judgment and over-communicate in terms of work product and deadlines
- Experience with privately held companies and their equity structure/cap table a nice to have
- Comfort level with completing state filings
- Polite and effective interactions with important third parties (including important stakeholders, regulators, staff at secretary of state departments etc.)
Background/Education
- Associate’s degree or Bachelor’s degree or equivalent
- At least 5 years or more working as a corporate paralegal in a fast-paced environment
- Paralegal’s certification strongly preferred
