The Opportunity

Our client, a distinguished Chicago-based firm known for its high-stakes advocacy and elite client service, is expanding its Business & Corporate Practice Group . We are looking for a versatile, 4th to 5th-year Corporate Associate who thrives on variety and high-touch client interaction.

This is an ideal role for an attorney who enjoys the “outside general counsel” model—handling everything from foundational governance and non-profit advisory to complex asset purchases and sophisticated commercial negotiations.

Key Responsibilities

  • Transactional Excellence: Draft, review, and negotiate a wide spectrum of commercial contracts, including MSAs, supplier/vendor agreements, construction contracts, and commercial leases.
  • M&A & Structural Growth: Lead the legal work for asset purchase agreements, shareholder agreements, and the drafting of corporate bylaws.
  • Corporate Governance: Provide strategic counsel on business filings, entity formations, corporate closures, and ongoing compliance for both for-profit and non-profit entities.
  • Privacy & Compliance: Advise clients on data privacy matters and evolving regulatory landscapes affecting commercial operations.
  • Strategic Support: Collaborate with the tax and litigation teams to ensure corporate structures are optimized and risk-mitigated.

Qualifications

  • Experience: 4–5 years of dedicated corporate or transactional law experience.
  • Contract Expertise: Proven “redlining” skills and the ability to lead negotiations independently across various industries.
  • Tax Knowledge (Preferred): A background or baseline understanding of corporate tax implications is highly desirable and will be considered a significant advantage.
  • Education: JD from an accredited law school; active IL Bar membership in good standing.
  • The “Grit” Factor: This firm values ​​“high-ownership” players. You should be someone who enjoys getting deep into the details of a client's business to provide holistic legal solutions.
  • Presence: Ability to work from the Chicago office 4 days a week , participating in the firm’s collaborative and high-energy culture.
