This role offers the opportunity to provide strategic legal guidance and lead complex M&A and securities transactions within a fast-growing, innovative environment. You will advise on corporate governance, investor relations, compliance, and capital markets matters while collaborating closely with cross-functional teams. The position requires a proactive attorney who thrives in a dynamic, mission-driven organization and can manage multiple high-priority projects effectively. You will play a critical part in shaping corporate strategy, mitigating risks, and supporting the growth of the business through legal expertise and sound judgment.
Accountabilities
- Lead and manage M&A transactions, including due diligence, negotiation, drafting, and review of merger, purchase, and joint venture agreements.
- Provide guidance on securities compliance, SEC filings, and corporate governance, ensuring adherence to state and federal regulations.
- Advise internal teams on legal and business risks, investor relations, and corporate structuring matters.
- Draft, review, and revise legal documents, including stock transfer agreements, contracts, policies, procedures, and shareholder consents.
- Coordinate shareholder meetings, manage corporate compliance filings, and prepare Board resolutions and related materials.
- Support process improvement initiatives to enhance legal department efficiency and effectiveness.
- Collaborate with leadership and cross-functional teams to enable business growth and expansion initiatives.
Requirements
- Juris Doctor (JD) degree from an accredited law school.
- Active attorney license in good standing with admission to the bar in at least one state.
- 6+ years of substantive legal experience, with 3+ years in-house preferred.
- Strong expertise in M&A transactions, securities laws, SEC reporting, and Delaware corporate governance.
- Experience drafting and negotiating complex agreements, including merger and purchase agreements.
- Proficiency with SEC EDGAR databases and understanding of capital markets, IPOs, and equity financing.
- Exceptional drafting, negotiation, analytical, and strategic thinking skills.
- Strong project management, multitasking, and communication skills to provide clear legal guidance across levels.
- Ability to align legal strategies with business objectives and proactively mitigate risks.
