§ Title: Senior Associate – Global Corporate Transactions and Private Investment

§ Salary: $260,000 to $390,000 Base Compensation
(Commensurate with experience, supplemented by a discretionary performance bonus and an expansive benefits suite including 401(k), parental leave, and family care programs)
§ Schedule: Full-time, Hybrid 3/2 onsite, 1,850 hours yearly billable expectation

§ Duties
The selected candidate will act as a pivotal advisor within an expanding corporate practice, overseeing the intricacies of diverse business combinations and private target transactions. The role demands a high degree of technical precision and the ability to manage multifaceted deal workstreams autonomously.
Core responsibilities include:
⨖ Architecting and managing all phases of the transactional lifecycle for domestic and cross-border mergers, acquisitions, and divestitures.
⨖ Drafting and negotiating definitive transaction documents, including stock and asset purchase agreements, merger agreements, and complex disclosure schedules.
⨖ Leading the execution of private equity investments and counseling private target entities on structural and governance matters.
⨖ Orchestrating comprehensive legal due diligence processes to identify and mitigate material risks for institutional and corporate clientele.
⨖ Coordinating with specialist departments such as tax, regulatory, and intellectual property to ensure a holistic approach to transaction execution.
§ Qualifications
Successful applicants must possess a distinguished professional background and the requisite experience to contribute immediately to high-stakes matters.
⨖ Juris Doctor (J.D.) from an ABA-accredited law school with a record of high academic achievement.
⨖ Active Bar membership in good standing within the jurisdiction of the chosen office location.
⨖ A minimum of three (3) years of substantive M&A experience, specifically including private equity or private target transactions.
⨖ Essential prior experience within an AmLaw 100 firm environment.
⨖ Demonstrated proficiency in leading transaction teams and managing complex closing mechanics.
