Job Description

Our client is a leading health sciences company - NASDAQ listed. This Legal Counsel role is a strategic leadership position responsible for overseeing all legal, compliance, and governance functions for a NASDAQ-listed company with a focus on cryptocurrency and blockchain operations. The ideal candidate will combine expertise in U.S. securities law, corporate governance, and digital asset regulations with innovative approaches to strategic finance, M&A, and intellectual property management. 

Responsibilities

  • Serve as the sole in-house legal counsel, providing strategic legal advice to executives and the management team in APAC.
  • Oversee all filings, reporting, and governance requirements for a NASDAQ-listed company, ensuring compliance with U.S. securities laws and SOX.
  • Provide legal guidance on digital assets, cryptocurrency, and blockchain operations.
  • Manage board resolutions, corporate secretarial support, and compliance processes.
  • Structure and negotiate commercial agreements, including those related to digital asset payment processing.
  • Develop and implement policies for AML, KYC, data privacy, and IP.
  • Lead legal aspects of financing, M&A, and joint ventures, with a focus on crypto-backed structures.

Requirements

  • Law degree holder (LLB/ J.D.) qualified in the US, and/or other major common law jurisdictions
  • Qualified lawyer with minimum 5 years PQE in a reputable international law firm or a top local law firm; including 2-3 years of experience supporting a listed company (NASDAQ or NYSE)
  • Strong background in corporate finance, M&A transactions, and complex commercial arrangements.
  • Solid understanding of the crypto industry and its regulatory environment. 
  • Sound judgment on business practices, internal and external stakeholder relationship management and reputational risk.
  • Business driven and capable to facilitate business by providing solutions.
  • Well-organized, detail-oriented, presentable and with excellent drafting and communication.
  • Business proficiency in spoken and written English.
