This role will be based in our Boston office, on a hybrid basis (one remote day). Regular in-office presence is required for day-to-day operations, as well as for team meetings, training opportunities, and relationship building. This role reports to the the assigned attorneys and local HR.

Position Summary

The Legal Support Specialist (“LSS”) provides high-level administrative and practice specific support to assigned attorneys in the corporate practice group.  The LSS handles a variety of complex assignments including corporate database searches and/or research, drafting certificates, and general preparation of corporate transitional documents.  The successful candidate has prior corporate securities practice experience in a law firm setting, demonstrates the ability to handle multiple priorities, is tech-savvy, and completes assignments with a high degree of accuracy.  GT offers our LSS team members and attorneys an enhanced support model which empowers the LSS team members to delegate routine administrative tasks to an administrative support team to ensure maximum efficiency and productivity. Candidate should be flexible to work overtime as needed.

Key Responsibilities

  • Performs administrative tasks as needed including drafting correspondence, agendas, memoranda, charts and presentations, travel arrangements and processing invoices and expenses.
  • Supports attorneys’ practice by tracking and calendaring deadlines, updating case information and maintaining legal files (both paper & electronic) organized and up to date.
  • Processes attorney time entries and opens new matters, runs conflicts checks, drafts engagement letters and may assist with audits responses.
  • Receives and screens telephone calls for supported attorneys, fielding calls and conveying messages as necessary.  Communicates with clients, opposing counsel, courts, and liaisons.
  • Assists attorneys with drafting, reviewing and redlining contracts, agreements, and other transactional documents.
  • Maintains corporate minute books, stock ledgers, corporate files, and databases for assigned attorneys.
  • Conducts UCC lien searches and may assist with summarizing lien search results.
  • Creates signature page blocks or e-signature packages and manages document deliveries and tracks final executed documentation.
  • Compiles final documents for post-transactional closings and assists attorneys or paralegals with preparation of post-closing binders.
  • Prepares, edits, proofreads, and files legal documents upon request of assigned attorneys, including certificates of incorporation and formation, statutory filings with Secretary of State, amendments, conversions, merger certificates, and dissolutions. 
  • Collaborates and works with Administrative Support Coordinators, Paralegals and other legal support team members where applicable.
  • Attends LSS team meetings.
  • Understands firm available resources and leverage most effective resource for desired results.
  • Assists with overflow work and other special projects as assigned.

Qualifications

  • Excellent interpersonal and communication skills (oral and written), professional demeanor and presentation.
  • Recognize confidential, sensitive, and proprietary information and maintain such information as confidential.
  • Position also requires the ability to work under pressure to meet strict deadlines.
  • Demonstrated experience using computer applications, word processing and spreadsheets
  • Flexibility to work overtime hours as needed to ensure deadlines are met

Education & Prior Experience

  • Bachelor’s Degree or equivalent experience is preferred.
  • 3 years of corporate experience within a law firm or other professional organization.
  • Knowledge of laws, legal codes, court procedures or agency rules of assigned practice group/dept. (ex. SEC Edgar, Carta, or SimplyAgree).

Technology

  • Computer proficiency in Microsoft Office Suite applications including Word, PowerPoint, Excel and Outlook, as well as document management and other office technologies.
  • Experience with SimplyAgree and DocuSign is a plus
