Zayo is seeking a Legal & Compliance Specialist to join our team. Our Legal & Compliance Specialist will support members of the Corporate Legal team by working on a variety of legal matters, including paralegal support for compliance, entity management, corporate governance, and contract administration matters. This is a non-lawyer legal support position.
 

Responsibilities: 

  • Support the Corporate Legal Team with domestic and international corporate governance, compliance, and entity management matters.  

  • Coordinate entity formation, registration, qualification, maintenance, and dissolution activities across U.S. and foreign jurisdictions 

  • Prepare and manage annual reports and related compliance documentation to maintain entities in good standing.  

  • Draft and maintain corporate governance documents, including board resolutions, shareholder consents, officer and director changes, and secretary of state filings.  

  • Maintain corporate records, legal databases, entity organizational charts, compliance calendars, and related tracking systems.  

  • Support Know Your Customer (“KYC”) compliance requests and respond to internal and external requests for corporate documentation and entity information.  

  • Assist with contract management and legal support functions, including organizing records and maintaining contract repositories.  

  • Redline corporate contracts, such as NDAs. 

  • Coordinate legal mail, signatures, notarizations, invoice processing, and e-billing support.  

  • Work cross-functionally with attorneys, finance, tax, outside counsel, registered agents, and third-party service providers on corporate and compliance matters.  

  • Assist with corporate transactions, restructurings, and special legal projects as needed.  

Qualifications: 

  • Undergraduate degree,   

  • Paralegal certificate, preferred

  • 2–4 years of paralegal or legal support experience, preferably in the telecommunications industry  

  • Notary public or willingness to become a notary public within six months of hire  

  • Excellent organizational and project management skills with strong attention to detail  

  • Strong verbal, written, and interpersonal communication skills  

  • Ability to work collaboratively with attorneys, business teams, outside counsel, and third-party providers to develop practical and effective solutions  

  • Prior experience reviewing and supporting commercial contracts, preferred 

Estimated Base Pay Range: $53,300 - $80,000 USD/annually

The base pay range shown is a guideline and reasonable estimate for this role. It takes into account the wide variety of factors that are considered in making compensation decisions. Actual compensation offered may vary from the posted range based upon geographic location, work experience, skill level, certifications, and other business and organizational needs. Non- sales roles may be eligible to participate in a discretionary annual incentive plan. Sales roles may be eligible to participate in a sales incentive plan.

Additionally, this position may be eligible for certain benefits, such as health insurance, life insurance, disability retirement plans, paid time off.

The posting will be active for a minimum of 3 days. The active posting will continue to extend by 3 days until the position is filled.
