Phillips Edison’s operating platform provides retail services including acquisition, redevelopment, leasing and management of grocery-anchored retail centers.

What you'll do:

  • Provide support for board and committee meetings, including assistance drafting agendas, resolutions, minutes, and meeting materials.
  • Assist with various SEC filings, including Form 10-Ks, Form 10-Qs, Form 8-Ks, registration statements, and proxy statements.
  • Manage PECO’s legal entity structure of 400+ entities.
  • Maintain state entity registrations, minute books, and other corporate records.
  • Draft, prepare, and file formation and dissolution documents.
  • Work with tax, accounting, finance, and operations teams on corporate structure and entity governance matters.
  • Assist with organizing, reviewing, and administering corporate policies.
  • Maintain a library of pre-approved form documents, contract clauses, templates, and historical documents.
  • Conduct legal research on securities laws, corporate governance developments, regulatory changes, and peer practices.
  • Support attorneys on various transactions, including joint ventures, corporate financings, and real estate acquisitions/dispositions.

What we're looking for:

  • Minimum of an Associate’s degree in paralegal studies; Bachelor’s degree preferred.
  • 5+ years of relevant legal experience as a paralegal or law clerk at a public company or law firm serving public company clients.
  • Strong interpersonal skills with the aptitude to interact with senior management. 
  • Detail-oriented with strong organizational, writing, and project management skills.
  • Self-starter with good problem-solving skills and client service orientation.
  • Team player with a positive attitude and willingness to learn.
  • Experience working with CT or CSC on legal entity matters preferred.
  • Experience with board portals such as Diligent BoardBooks preferred.
  • Proficient in Microsoft Office and Excel.
