The Senior Corporate Counsel will provide senior level support to the Chen Family of Companies in a myriad of areas including, but not limited to, to business and employment contracts, new business development/requests for proposals, contract compliance, real estate law, employee relations/employment practice matters, business insurance, risk management, and healthcare regulatory compliance. Senior Corporate Counsel will provide strategic legal support, counseling and practical solutions to the Company’s divisions throughout the different states that the company is located in, developing, managing and ensuring execution of legal programs, initiatives and directives of the company’s leadership. This position will partner with internal departments to investigate claims and issues, and develop, strategize and ensure execution on initiatives to ensure company compliance with applicable laws and regulations. Corporate Counsel will review policies and practices, lead the legal training of company personnel, and ensure the dissemination of such information to promote compliance with the same. At times, this role may include oversight of the operational execution of a small team of junior lawyers and/or other legal support staff in support of objectives and strategies set by the Legal department’s senior leadership.

Expectation of this role is 3 days per week in office at our headquarters.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

  • This position will partner with internal departments to investigate claims and issues, and to support/ensure company compliance with applicable laws and regulations, as well as:

  • Promotes the ChenMed mission, vision and values by effectively demonstrating and communicating them to others. Considers mission, vision and values in developing services, standards and practices.

  • Provides legal advice, analysis and guidance in connection with the company’s operations to ensure protection of the company’s legal rights, mitigation of risks and continued legal compliance. 

  • Collaborates with legal leadership to proactively identify and address company legal risks, and to strategize and execute on best legal practices.

  • Manages multiple complex projects at the same time, and coordinates work with other attorneys and stakeholders to deliver timely results.

  • Partners with members of senior management and occasionally with executives on legal matters within area of legal expertise.  Provides legal advice to company management to ensure their activities, policies, business practices, and transactions comply with all relevant laws and regulations.

    • Review and author managed care contracts with regional/national health plans

    • Aid Compliance with guidance on regulatory frameworks, using firm CMS understanding and occasionally conduct investigations

    • Handle critical privilege and confidentiality issues

    • Review medical malpractice claims and share advice

    • Review Medicare Marketing guidelines to counsel Marketing team

  • Provides legal advice to internal clients on best practice negotiation strategies and standard terms for agreements including contract interpretation, dispute resolution and other legal risks, and, to the extent applicable, ensures attorneys under their supervision do the same.

  • Monitors updates to relevant statutes and regulations; strategically advises on legal and regulatory issues and federal and state laws and regulations; adapts professional staff and other documents to changes in regulations, laws, and client practices.

  • Oversees and manages the review and investigation of claims, actions, or lawsuits filed against the company, collaborating in developing defense strategies, evaluating the strength of the claims, conducting risk analyses, and evaluating resolution opportunities.

  • Drafts, negotiates, reviews, finalizes, and represents the Company and internal clients’ interests in a broad range of contractual documents, including licensing agreements, nondisclosure agreements, service arrangements, business associate agreements, purchase agreements, vendor contracts, joint venture agreements, marketing agreements, and employment agreements, among others.

  • Works with internal clients as well as external counsel, as required, on policy, contract and agreement matters.

  • Drafts letters, contracts and other legal instruments.

  • Provides support as needed to the legal team leadership to further the legal COE’s and business’s goals; execute on deadlines through appropriate planning and communication and works to adhere to the COE’s budget.

  • Develops and implements corporate policies, procedures and programs, and standard terms for agreements; provides continuing counsel on legal matters and legal implications.

  • Supervises and/or manages outside counsel as directed by the senior Counsel in a broad range of matters and oversee and supervise litigation to promote efficient and effective dispute resolution of potential and actual disputes.

  • Collaborates with the legal team, and effectively communicates project and task updates to legal leadership and the legal team on a regular basis.

  • Supports other members of the legal department staff as necessary.

  • Other duties as assigned and modified at manager’s discretion.

KNOWLEDGE, SKILLS AND ABILITIES:

  • Superior written and oral communication skills with excellent academic credentials, writing, communications, strategic problem-solving and leadership skills required

  • Capacity to think strategically, make sound decisions and give business and legal advice, at times in compressed time frame with limited information

  • Solution-oriented team player with a commitment to client satisfaction

  • Ability to handle multiple responsibilities simultaneously and still meet high quality standards under pressure

  • Proficiency with contractual terms and conditions required

  • Understanding of Medicare Advantage risk-based primary care and applicable laws and regulations for both the industry and general businesses

  • Excellent problem solving, analytical and critical thinking skills

  • Excellent time management and cross-functional and internal team collaboration skills

  • Knowledgeable of applicable laws, legal codes, court procedures, precedents, government regulations and executive orders

  • Proficient in Microsoft Office Suite, in particular Word, Outlook, PowerPoint and Excel; knowledge of Linksquares and/or ServiceNow a plus

  • Spoken and written fluency in English

  • This position requires less than 10% of travel nationwide

  • This position requires the use of independent judgement

EDUCATION AND EXPERIENCE CRITERIA:

  • Juris Doctor Degree from an ABA accredited law school required

  • Admission to at least one U.S. State Bar in good standing

  • Minimum of two (2) years’ experience in law, focusing on health care or employment law and/or previous experience as corporate in-house counsel is a plus

  • Experience analyzing and advising on the Stark Law, Anti-Kickback Law and other federal and state healthcare compliance matters, and drafting complex agreements and other legal documents and defending employment and labor law actions; experience and ideally expertise with the EEOC, Title VII, FMLA, ADA, ADEA, DOL, FLSA a big plus

  • Experience with Medicare required

  • Information Security (INFOSEC), Compliance, Value-based care and MA experience a plus

  • High personal integrity and ability to operate with discretion required

  • Broad knowledge or experience in one of the following areas of law is a plus:  intellectual property law, labor and employment law, health care law, mergers and acquisition in the healthcare field, transactional law, corporate law or real estate law

  • Experience with cost-effective management of outside legal resources

  • Up to date with Continued Legal Education courses (CLE) and proactive about staying informed and self-educating to stay relevant and knowledgeable
