Position Summary
BioIVT is seeking an attorney with a strong transactional and generalist background to provide legal counsel on a variety of business and transactional matters. As an Associate Corporate Counsel, you will report directly to the General Counsel.
The focus of the Associate Corporate Counsel will include reviewing and supporting the business teams in negotiating a variety of corporate contracts, including but not limited to, non-disclosure agreements, master service agreements, terms and conditions of sale, material transfer agreements, consulting agreements, vendor agreements, leases, as well as advising on corporate governance matters. The ideal candidate is intelligent, hardworking, and self-starting, reliable, organized, and can manage multiple assignments and deadlines in a fast-paced environment. The candidate must be resourceful, collaborative and possess the ability to work independently in a small, leanly staffed legal department within a rapidly growing international business environment.
Duties/Responsibilities
As a Corporate Counsel at BioIVT, you will report directly to the General Counsel, and you’ll be expected to:
· Provide exceptional legal advice and guidance to life science business clients, including primarily the sales and supply teams with respect to contract negotiations;
· Review, draft, and work closely with business units to negotiate contracts, often including counterparty template agreements for BioIVT products and services.
· Provide support for creation, implementation, and improvement of template contracts, contracting playbooks, and related processes.
· Handle a fast paced and high-volume workload, and manage competing priorities;
· Demonstrate strong business acumen and ability to draft and negotiate contracts efficiently and effectively;
· Demonstrate excellent communication skills and ability to provide business clients with clear and precise guidance on business, compliance, and legal risks;
· Identify legal and compliance issues and business risks and escalate appropriately;
· Identify and collaborate with subject matter experts from other departments, especially the Legal, Regulatory, Compliance, Marketing and IT teams;
· Identify opportunities for process improvements and efficiencies;
· Work under the supervision of the General Counsel and exercise sound judgment as to matters that require attention of the General Counsel and senior leadership;
· Have excellent writing, contract drafting and negotiating skills;
· Consult with and seek guidance from the General Counsel and identify the need for external counsel from subject matter experts when appropriate;
· All other duties and responsibilities as assigned.
Qualifications
· Juris Doctorate from an ABA accredited law school and licensed to practice law within the United States, with a record of high academic achievement in the undergraduate level and in law school;
· Minimum 4-8 years of relevant experience, preferably in large complex organization;
· Strong drafting and negotiating skills in diverse commercial agreements with experience in data privacy requirements and healthcare regulations;
· Outstanding interpersonal skills, including patience, diplomacy, flexibility, and the ability to interface effectively and engender trust and confidence with personnel at many different levels throughout the Company;
· Enthusiasm and "self-starter" qualities, enabling management of responsibilities with an appropriate sense of urgency; the ability to function effectively and efficiently in a fast-paced and dynamic environment;
· Business acumen, including a well-developed understanding of business and commerce and the ability to diagnose corporate legal problems and present positive, creative solutions and alternatives;
· Excellent organizational skills and a high-level of attention to detail.
