Executive Compensation Attorney

Responsibilities
- Responsibility for global employee incentive compensation and director compensation design and documentation, disclosure and legal, regulatory and tax compliance
- Responsibility for corporate governance matters relating to executive compensation, including support for the compensation committee of the Board of Directors
- Advise and support Human Resources in connection with executive and director compensation activities, including administration of global equity and cash-based incentive compensation programs
- Advise and support Human Resources regarding compensation-related aspects of employment, hiring and severance arrangements
- Serve as point of contact for Section 16 officers; maintain executive officer and director beneficial ownership records and complete Section 16 filings
- Coordinate and oversee global securities law review of equity and cash-based incentive compensation programs
- Assist with coverage of general incentive compensation matters, including corporate transactions, regulatory requests and shareholder matters
- Perform other duties as assigned
Qualifications
- A qualified lawyer in the US with 3+ years of relevant legal experience (either at a major law firm and/or in-house) advising clients on executive compensation matters
- In depth understanding of securities, tax and other laws, rules and regulations governing executive and incentive compensation, as well as best market practices
- Experience with executive compensation in financial services
- Professional maturity and presence
- Excellent interpersonal and collaborative skills with ability to contribute successfully to cross-functional teams
- Excellent written and verbal communication skills with ability to distil and communicate complex ideas in a clear, commercially astute manner that supports internal clients in making difficult decisions
- Highly motivated and independent self-starter with excellent work ethic
> Excellent analytical skills with ability to exercise sound judgement even in ambiguous situations - Excellent organizational skills with experience of managing multiple time-sensitive projects simultaneously
- Strong lateral thinking and problem solving
- Ability to work from Morgan Stanley's New York office 3 to 4 days per week

Expected base pay rates for the role will be between $110,000.00 and $190,000.00 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
