In-House Legal Counsel
We are seeking a highly motivated and detail-oriented In-House Legal Counsel to join our legal team in Hoboken, NJ. This role will focus primarily on the formation, structuring, and ongoing operation of U.S.-based investment funds, while also supporting broader corporate legal subjects across the organization, Faropoint’s strategic growth and compliance initiatives.
Responsibilities
- Lead and manage legal aspects of U.S. investment fund formation, including drafting and reviewing fund documents, subscription agreements, and investor communications.
- Manage legal aspects of corporate operations such as drafting organizational documents, maintaining corporate records, and supporting intercompany transactions.
- Advise on fund governance, regulatory compliance, and operational matters throughout the fund lifecycle.
- Collaborate with internal teams (finance, investor relations, acquisitions) and external counsel to ensure smooth fund launches and ongoing operations.
- Support on broader legal and compliance matters, including SEC, AML, and other regulatory frameworks.
- Support in maintaining and enhancing corporate governance frameworks across Faropoint entities.
Qualifications
- Currently pursuing or recently earned law degree (J.D. or equivalent)
- Minimum 3 years of relevant legal experience, preferably in fund formation, private equity, or real estate investment.
- Strong understanding of U.S. securities laws, fund structures (LPs, REITs, etc.), and investor compliance.
- Excellent drafting, negotiation, and communication skills.
- Ability to work independently and collaboratively in a fast-paced, cross-functional environment.
- This position offers a base salary in the $190,000-$210,000 range, plus discretionary bonus, competitive healthcare benefits, unlimited PTO, and a 401k match.
