POSITION SUMMARY:


The role of in-house counsel is critical to an organization’s successful operations. As an integral part of our corporate structure, this position is tasked with providing expert legal guidance and support to ensure our operations align with all applicable laws and regulations. This position demands a robust understanding of corporate law, regulatory compliance and risk management; however, this role is primarily focused on contract review and negotiations with excellent work life balance.

In this dynamic role, you will work closely with various departments, including finance, human resources, customer service, sales and marketing, IT, and executive leadership, providing legal insights that drive informed business decisions and safeguard our organizational interests.

Whether you are negotiating contracts, managing litigation, or advising on intellectual property matters, your contributions will be critical to our ongoing success and sustainability.


ESSENTIAL JOB FUNCTIONS:


· Providing legal advice and guidance to owners, the executive team and other company departments.

· Drafting, reviewing, and negotiating contracts and other legal documents.

· Ensuring compliance with local, state, and federal laws and regulations.

· Managing litigation and coordinating with external legal counsel as needed.

· Conducting legal research and staying updated on changes in laws that may affect the company.

· Overseeing corporate governance and ensuring adherence to corporate policies.

· Managing intellectual property matters, including patents, trademarks, and copyrights.

· Handling employee relations and labor law issues.

· Developing and implementing legal strategies to protect the company's interests.

· Manage and oversee outside counsel and various firms

· Oversee the Compliance Department for Bomb Party in accordance with all FTC guidelines

· Advising on mergers, acquisitions, and other corporate transactions.


MINIMUM QUALIFICATIONS, EDUCATION, EXPERIENCE, LICENSES, ETC:


· Juris Doctor (JD) degree from an accredited law school.

· Minimum of 5 years of experience in a similar role.

· Minimum of 3 years of legal experience in a corporate setting.

· Strong knowledge of corporate and commercial law.

· Experience in regulatory compliance and risk management.

· Fluency in multiple languages is a plus.

· Active membership in a state bar association.

· Previous experience working in support of a direct sales company is a plus

· Strong analytical and problem-solving skills.

· Excellent written and verbal communication abilities.

· High attention to detail and ability to handle multiple tasks.

· Proficiency in legal research and use of legal databases.

· Strong ethical standards and professional integrity.


REQUIRED SKILLS AND ABILITIES:


1. Excellent negotiation and communication skills.

2. Experience with legal software and research tools.

3. Strong understanding of legal terminology and principles.

4. Ability to interpret and apply laws and regulations.

5. Ability to interact and forge business relationships with employees at all levels.

9. Highly professional and diplomatic in all dealings with employees.

10. Strong analytical skills and ability to measure results.
