§ Duties:
The incoming Tax Associate will serve as a primary legal architect, designing the fiscal frameworks that underpin massive corporate movements. This role is deeply integrated with the firm’s Corporate and Private Equity teams, requiring a practitioner who thrives at the intersection of tax law and commercial strategy.
⨖ Engineering Tax-Efficient Structures for high-value mergers, acquisitions, and corporate reorganizations, ensuring compliance and maximizing fiscal advantage.
⨖ Advising on the formation and operational lifecycle of Private Equity Funds, Real Estate Investment Trusts (REITs), and sophisticated investment vehicles.
⨖ Providing expert counsel on the tax implications of joint ventures, limited liability companies, and complex partnership arrangements.
⨖ Drafting and negotiating the tax-sensitive components of transactional documentation for capital markets and sophisticated financing projects.
⨖ Leading due diligence workstreams to identify and mitigate tax-related risks in large-scale domestic and international divestitures.
§ Qualifications:
The firm seeks an individual with a rigorous academic background and a proven track record of handling high-level transactional matters.
⨖ Juris Doctor (J.D.) from an ABA-accredited law school with a record of distinguished academic achievement.
⨖ Active Bar admission in the State of New York, or the ability to secure admission promptly.
⨖ Three (3) to Four (4) years of substantive experience in transactional tax law at a major peer-market law firm.
⨖ Demonstrated capability to manage significant deal components independently while functioning effectively within a multi-disciplinary team.
⨖ Superior analytical, drafting, and communication skills necessary for high-level client interface.
§ Skills:
⨖ An L.L.M. in Taxation from a top-tier law school is highly preferred and viewed as a significant asset.
⨖ Specific technical expertise in Subchapters C and K of the Internal Revenue Code.
⨖ Experience advising on Regulated Investment Companies (RICs) or complex cross-border tax treaties.
⨖ A highly organized professional approach with the ability to manage competing deadlines in a high-pressure transactional environment.
