Position Summary

Reporting to the EVP, General Counsel, the Senior Corporate Counsel will be responsible for corporate transactional work across the Meridian IT business and managing risk for other parts of the organization as assigned by the General Counsel. The Senior Corporate Counsel will serve as a business-oriented and strategic partner for the organization and will work in a culture that encourages great teamwork and innovation. This person will play an immediate and instrumental role in driving our growth, and will join a small, but mighty legal team that focuses on achieving desired business outcomes while identifying and mitigating risk.

This position will be based on-site at our Deerfield office. The role will begin as a five-day in-office schedule, with the opportunity to transition to a hybrid schedule of three in-office days per week after the initial integration period.

 

Duties and Responsibilities

  • Drafts, reviews, and negotiates a wide array of commercial contracts and vendor agreements including licensing, hardware, services, SaaS, government contracts, reseller arrangements, etc., in collaboration with the relevant business units.
  • Supports a long-term strategy to identify and minimize risk, including compliance with applicable laws and regulations across all areas of the business including data, privacy, security, employment, and intellectual property.
  • Supports the continuous improvement of standard agreements, policies, and processes.
  • Collaborates with the broader legal team on high-priority initiatives and areas of risk.
  • Manages projects as directed or delegated by the EVP, General Counsel.
  • Performs other duties and special projects as assigned.

Qualifications & Requirements

  • Juris Doctor degree from an accredited law school required
  • Licensed as a practicing attorney in good standing required
  • 5 – 10 years of in-house experience preferred
  • Law firm experience preferred
  • Experience in high-growth technology organizations
  • Experience in the wide range of legal issues typically encountered by a global B2B enterprise business
  • Ability to balance legal risk against other business and operational risks
  • Ability to manage complex work streams and plan effectively across multiple initiatives/sides of the business.
  • Has excellent verbal and written communication skills, and is flexible and pragmatic
  • Possesses the highest degree of personal and professional integrity, judgment, and ethics.
  • High Emotional Intelligence
  • Creative problem solver who is collaborative possesses sound business judgment, and is detail-oriented, and a self-starter
  • Accomplished negotiator with an understanding of negotiation strategy and tactics including the ability to present alternatives with proposed solutions
  • Ability to work with the sales and engineering teams in high growth, fast-paced environment
