Salary
Northrop Grumman is seeking an M&A / International Corporate Counsel to join our team in Falls Church, VA.
Roles and Responsibilities
General
Provide business-oriented legal advice relating to Northrop Grumman’s domestic and international transactions to achieve enterprise-wide goals in challenging markets
M&A / Antitrust
- Lead investments and smaller M&A transactions; support larger M&A transactions
- Support negotiation of strategic collaborations with international partners, including joint ventures, teaming agreements, strategic alliances and other bilateral and multilateral arrangements
- Advise company with respect to U.S. and foreign antitrust/competition law compliance, including HSR filings, exclusive arrangements and government inquires relating to industry transactions under review
International Support
- Advise Corporate Global Business Development function with respect to broad range of issues including MOUs, NDAs, international consultant agreements, anti-corruption compliance and compliance training
- Provide legal support to in-country teams where Northrop Grumman has offices in Europe, Asia and the Middle East with respect to wide range of regulatory and compliance issues
- Assist in negotiation of DCS transactions with foreign customers and suppliers
- Provide support to all business sectors engaged in international pursuits and programs and liaise with functional experts
- Help advise company with respect to industrial participation (offset) activities and transactions
This role may be filled at a higher level based on the qualifications below.
Basic Qualifications Corporate Counsel 1
- Juris Doctor degree from an ABA accredited law school
- 8+ years of related experience
- M&A experience, including cross-border transactions
- Basic familiarity with antitrust matters
- International law experience
Basic Qualifications Corporate Counsel 2
