Job Description

Overview

The primary responsibilities will be to support and provide paralegal services to PAM Health’s Legal Department. Will work under the direction of the Legal Department in connection with healthcare-related issues. Assists and supports attorneys on health care matters. This position may handle confidential information and, as such, requires diplomacy and discretion. Performs other related duties as assigned or requested.

Responsibilities
  • Assist in the formation, dissolution and maintenance of corporate entities
  • Draft and maintain meeting minutes, corporate secretarial certificates and corporate resolutions
  • Maintain records for corporate subsidiaries, director and officer information, corporate record keeping, transaction execution, governance policies, and compliance processes
  • Assist with mergers and acquisitions, real estate purchases, and other transactions, including preparation of transaction deal term summaries, preparation of corporate documents and certificates, coordination of due diligence, determination and tracking of critical dates, and serving as point person for closings
  • Review and tracking of leases, contracts, and other corporate agreements
  • Assist with the preparation of legal documents related to financing
  • Document management, including gathering, indexing, analyzing and producing documents and data in various electronic formats
  • Prepare general correspondence and reports
Qualifications

Education and Training: Bachelor’s or Associate’s Degree and/or Paralegal Certificate preferred.
Experience: 3+ years of in-house or law firm experience preferred.

 

Knowledge, Skills, and Abilities:
• Knowledge of health law, corporate law, mergers and acquisitions, and/or real estate is preferred
• Ability to take direction, set priorities, and see assigned tasks through to completion
• Working knowledge of Microsoft Office and Excel
• Excellent oral, written and interpersonal communication skills
• Excellent organizational skills
• Must be able to work independently, with limited or no supervision
• Customer and client orientation
