In addition, ACS provides customers with engine support with tailored solutions structured as engine leases, exchanges, or trades which reduce operating cost.
For investors, ACS is an alternative asset investment manager which provides both equity and debt investors with access to investing in the mid-life aircraft segment while benefitting from an experienced aircraft leasing platform. COMPANY BACKGROUND
Founded by its sole shareholder in 2010, ACS has experienced significant growth and continues to develop at a market leading pace with a focus on narrowbody Boeing and Airbus aircraft. It’s unique ability to “handle the metal” along with full in-house capability on all aspects of managing mid-life and end-of-life aircraft provides the platform for creating value in a competitive environment. Areas in which ACS can typically “add value” range from optimizing cash flows associated with a specific lease to maximizing an aircraft’s residual value via a sum-of-the-parts exit approach, passenger release, or freighter conversion and cargo release.
POSITION SUMMARY
The Legal Counsel will report to the Deputy General Counsel, be based in the Austin office, and assist the junior and senior members of the Legal Department with aspects of the Company’s legal needs, including purchasing, leasing, selling, and financing of aircraft and various Irish, US, and international corporate governance matters. You will be responsible for providing guidance and expertise on a wide range of matters related to aircraft leasing, financing, and transactional activities.
This opportunity is ideal for a mid-level associate attorney at a national or regional law firm with relevant experience eager to build a career in-house in Austin, Texas at a prominent private equity platform / alternative investment manager dedicated to aircraft leasing and finance.
KEY RESPONSIBILITIES
- Assist with the legal requirements associated with purchasing/selling/leasing/financing commercial aircraft and engines.
- Work with internal and external resources, including internally, with the legal, technical, investments, tax, and commercial teams, and externally, with deal counsel, local counsel, insurance advisors, and tax advisors.
- Review, draft, and negotiate various transaction documents and contract agreements related to aircraft leasing and financing.
- Manage and conduct KYC requests and diligence for counterparties.
- Manage legal records/contracts and ongoing leased and financed portfolio in connection with the investments, asset management, and technical teams.
- Assist various departments of the company and its affiliates with vendor contracts and proposals and other corporate contracts.
- Other duties that may be requested by the Company from time-to-time.
REQUIRED QUALIFICATIONS
- US qualified lawyer in good standing.
- 3-6 years’ experience at a recognized regional or national law firm / aircraft leasing or real estate company (or similar private equity firm).
- Experience in aircraft leasing and financing (preferred), real estate, asset/project finance, or similar asset-backed practice area.
- Demonstrated ties to Austin preferred.
- Highly organized and capable of managing multiple projects simultaneously at differing stages of progress.
- Maintains good judgment under pressure.
