Celularity Inc. (Nasdaq: CELU) is a regenerative medicine company developing and commercializing advanced biomaterial products and allogeneic, cryopreserved, placental-derived cell therapies, all derived from the postpartum placenta. Its therapeutic programs target aging-related diseases, including degenerative diseases, cancer, and immune disorders, using mesenchymal-like adherent stromal cells (MLASCs), T-cells engineered with CAR (CAR T-cells), and genetically modified and unmodified natural killer (NK) cells.


Summary

Celularity is seeking a senior paralegal with strong patent and trademark prosecution skills and general legal experience. The hire should be able to manage all aspects of a large global intellectual property portfolio, as well as assist with legal support for in-house counsel, outside counsel and departments within Celularity. The hire should be able to independently manage projects from inception to completion, with little to no supervision. This role reports to the Executive Director of Intellectual Property and will interact day-to-day with in-house legal counsel.


Responsibilities will include, but are not limited to, the following:

  

Intellectual Property

  • Use and apply extensive IP knowledge daily to manage the Company’s various dockets and to analyze, develop and implement solutions to resolve system issues and to reach business goals.
  • Create, update, and manage the IP Database records.
  • Docket critical IP Data provided by the USPTO, WIPO, EPO and Foreign Agents in the IP database. Critical IP Data includes filing, prosecution, maintenance fee data, and miscellaneous data for patents and trademarks.
  • Prepare and distribute ad hoc reports from the database when needed.
  • Manage the preparation, execution, distribution, and filing of Formal Documents for U.S., PCT and foreign applications (PCT Requests, Transmittal Letters, Extension of Time Forms, Fee Sheets, Assignments, Powers of Attorney, Declarations, misc. documents, and 92bis documents). 
  • Create and distribute docket reports on a daily, weekly and monthly basis for in-house attorney(s).
  • Monitor and manage the Intellectual Property email boxes (Patent and Trademark). 
  • Review, answer, docket, and file all IP correspondence. 
  • Prepare and distribute Order Letters, Information Sheets and supporting documents to foreign agents for convention and PCT national phase filings electronically.
  • Monitor the global status of patent and trademark family members.
  • Maintain the Deposit Account at the United States Patent Office.
  • Organize, attend, and lead Patent Review Meetings. 
  • Quarterly, prepare and distribute Patent Review Meeting Agendas and Patent Review Meeting Minutes. 
  • Prepare cost estimates for upcoming filing, prosecution, and maintenance fees for patent families on a quarterly basis.
  • Oversee the review, approval, and payment of annuities/maintenance fees for Celularity’s patent and trademark portfolios.
  • Prepare and file Information Disclosure Statements.

  

General Legal Support

  • Participate in special projects as needs arise, including assisting with firm training, developing policies and guidelines, and any other necessary undertakings for promoting high quality, effective service for the business.
  • Review, approve/reject, and trouble shoot discrepancies for Legal Department invoices.
  • Create, update, and maintain patent matters in Legal Tracker, Celularity’s Legal Department eBilling system.
  • Prepare and distribute monthly Legal Accrual Reports for the Accounts Payable Department.
  • On occasion, prepare reports and assist with projects for the Accounts Payable Department and Finance Department.
  • Prepare Purchase Orders and Requisition forms.
  • Support attorneys and provide management of additional tasks as needed, including those projects unrelated to patents or trademarks.


Requirements

Minimum Qualifications (Must have)

  • Bachelor's degree or any combination of experience, education or training that demonstrates the ability to perform the duties of the position.
  • Certificate of completion from a paralegal training program; American Bar Association (ABA) approved program preferred.
  • Energetic, self-starter, with strong organizational and administrative skills, who is detail oriented, and can manage multiple priority projects/deadlines.
  • The candidate should be able to communicate and share information effectively.
  • Must be able to work independently and as a member of a larger legal team, while managing a variety of tasks requiring an elevated level of commitment to the overall IP protection of the company.
  • Working knowledge of eBilling and docketing software.
  • Working knowledge of USPTO & WIPO rules and best practices, including working knowledge of the Manual of Patent Examining Procedures and 37 Code of Federal Regulations.
  • Have strong computer skills, including experience using various online electronic IP filing platforms provided by government agencies such as ePCT and Patent Center.
  • Electronically prepare and file U.S. and PCT applications, and misc. documents using ePCT and Patent Center.
  • Experience with using Microsoft Office products (Excel, Outlook, PowerPoint, SharePoint, Word), the CPI database and Legal Tracker.
