The Position and Key Duties and Responsibilities Moon Valley is recruiting for the position of Counsel or Senior Counsel (depending on experience level), an outstanding opportunity for individuals seeking an exciting work environment with an established and expanding company.
Moon Valley is looking for an attorney with extensive experience drafting and negotiating a wide-variety of general corporate agreements; strong attention to detail; an appetite for a high volume fast-paced environment; and the ability to manage multiple assignments and deadlines. This position reports to the General Counsel that sits in our Scottsdale office and this position will be based there, and remote candidates will not be considered. The ideal candidate will have a strong background in general business law, with experience gained from working at a reputable law firm. The candidate should have significant regional experience, with national and California experience considered a plus. Employment law experience is a plus. Prior in-house counsel experience is preferred, not required.
- Legal Advisory: Provide comprehensive legal advice and support to various departments within the organization, including operations, sales, HR, and marketing, ensuring compliance with applicable laws and regulations.
- Contracts Management: Draft, review, negotiate, and finalize a variety of commercial contracts, including vendor agreements, service contracts, partnership agreements, leases, and real estate transactions.
- Corporate Governance: Assist in corporate governance matters, including preparation and maintenance of corporate records, board minutes, resolutions, and compliance with corporate policies and procedures.
- Risk Management: Identify potential legal risks related to business operations, intellectual property, employee relations, and provide strategic solutions to mitigate such risks.
- Litigation Management: Oversee and manage litigation matters, including disputes related to contracts, employment, intellectual property, and real estate, working closely with external counsel when necessary.
- Regulatory Compliance: Ensure the company complies with all relevant laws and regulations, particularly those affecting business operations in different regions, including environmental regulations, employment laws, and industry-specific standards.
- Mergers and Acquisitions: Support M&A activities, including due diligence, transaction structuring, documentation, negotiation, and post-transaction integration.
- Cross-Functional Collaboration: Collaborate with various business units to provide legal guidance on strategic initiatives and projects, fostering a culture of compliance and risk awareness.
- Training and Development: Develop and conduct legal training programs for staff to promote awareness and understanding of legal compliance, risk management, and ethical practices.
- Policy Development: Assist in the development and implementation of corporate policies and procedures to ensure compliance with legal and regulatory requirements.
- Other duties and tasks, as assigned and needed.
- Education: Juris Doctor (JD) degree from an accredited law school.
- Bar Admission: Must be admitted to practice law in at least one U.S. jurisdiction, with the ability to obtain in-house counsel registration in Arizona if not already admitted in AZ.
- Experience: A minimum of 5 years of legal experience is required, with a significant portion gained from working at a reputable law firm. In-house counsel experience is a plus.
- Regional Expertise: Demonstrated experience handling legal matters in multiple regions; national experience is a plus, and California-specific experience is highly desirable.
- Business Acumen: Strong understanding of general business principles and the ability to provide practical and strategic legal advice.
- Communication Skills: Excellent written and verbal communication skills, with the ability to effectively communicate complex legal concepts to non-legal stakeholders.
- Analytical Skills: Strong analytical and problem-solving abilities, with a keen attention to detail.
- Interpersonal Skills: Ability to work collaboratively with cross-functional teams and build strong working relationships.

- Some travel may be required.
