Vice President, Commercial Counsel

The Role
Strada is seeking an experienced Vice President, Commercial Counsel to serve as a strategic legal business partner and as a senior member of the global legal team. Reporting to the Chief Legal Officer, the Vice President will work closely with senior management and functional leaders to structure, draft, negotiate and advise on high-value, complex commercial transactions, as well as help advance key business initiatives and provide day-to-day practical, solution-oriented support. The Vice President will also develop scalable processes, manage a team of attorneys and contract professionals and ensure compliance with applicable laws, regulations and company policies.
Key Responsibilities
- Oversee negotiation and execution of complex agreements including client contracts, reseller, distributor, SaaS/cloud agreements, procurement, marketing and partnership agreements.
- Develop contract templates, playbooks, fallback provisions and negotiation strategies to improve speed-to-close and consistency.
- Drive innovation within the legal team, including Contract Lifecycle Management implementation and training.
- Provide commercial legal support for new service offerings, including generative AI tools and features.
- Coordinate with sales operations on efficient commercial contracting processes and go-to-market strategies.
- Advise on contract disputes, terminations and enforcement strategies.
- Collaborate with procurement to streamline vendor contracting.
- Partner with finance on revenue recognition, pricing models and contractual risk provisions.
- Identify and mitigate legal and commercial risks while balancing business objectives and partner with internal audit to ensure contract processes meet internal controls and governance requirements.
- Lead, mentor and develop a high-performing team of attorneys and contract professionals.

About You
- Juris Doctor degree with active bar membership in at least one state.
- Minimum 12 years of experience as a practicing attorney across a wide range of practice areas, ideally with a combination of law firm and in-house roles.
- Proven track record of negotiating and closing complex, high-value commercial transactions in the United States and in international jurisdictions.
- Demonstrated ability to lead a global commercial legal function, providing actionable guidance and solid, business-focused solutions that combine excellent judgment, strategic thinking, creativity, risk-taking and technical expertise.
- Experience addressing AI issues in contracts and related emerging governance issues.
- Experience in managing external counsel and internal teams.
- Analytical mindset with the ability to provide practical and business-oriented solutions.
- Proven ability to handle multiple priorities in a fast-paced, dynamic environment.
- Excellent verbal and written communications skills, listening, presentation skills, ability to work and communicate in a diverse global organization.
- Team player, with cultural awareness and curiosity, willing to work with other functions and members of a global business.

Salary Pay Range
Minimum - Maximum:
$223,860.00 - $415,740.00Pay Transparency Statement: Strada considers a variety of factors in determining whether to extend an offer of employment and in setting the appropriate compensation level, including, but not limited to, a candidate’s experience, education, certification/credentials, market data, internal equity, and geography. Strada makes these decisions on an individualized, non-discriminatory basis. Bonus and/or incentive eligibility are determined by role and level.
