Primary Objective of Position
As Associate General Counsel, you will ensure Milpower Source complies with all external regulatory and statutory requirements by developing and managing internal policies. You will review and negotiate contractual and legal documentation, advise global corporate leadership on legal matters, and lead compliance initiatives across the organization—including export compliance.
Essential Functions:
Contract Review & Negotiation
*Review, draft, and negotiate a wide range of commercial and government-related agreements, including:
- Requests for Proposal (RFPs)
- Customer purchase orders, subcontracts, and related terms and conditions
- Contracts with U.S. Government organizations
- Long-term supply, partnership, and strategic agreements
- Non-Disclosure Agreements (NDAs) and Proprietary Information Agreements (PIAs)
- Lease and real estate-related agreements
*Provide risk-based legal guidance to support timely and effective business decisions
Legal Advisory
*Serve as a trusted legal advisor to global corporate leadership and site management on matters including:
- Regulatory and statutory requirements impacting business operations
- Legislative changes and compliance strategies (e.g., Buy American Act)
- Customer-requested certifications and commercial compliance requirements
- Intellectual property, trademarks, and data privacy matters
- Ethics, compliance, and regulatory frameworks (e.g., ABAC, AML, CMMC)
- FAR/DFARS and other government contracting regulations
Compliance & Special Projects
- Develop, implement, and maintain legal and compliance policies, procedures, and internal controls
- Monitor regulatory developments and lead updates to policies and procedures to ensure ongoing compliance
- Manage compliance with FAR/DFARS requirements and related certifications
Support complex legal initiatives and special projects, including:
- Novation agreements
- Mergers, acquisitions, and integration activities
- HR-related and corporate policy development
Engage and manage outside counsel for specialized legal matters
Review and approve customer compliance forms, certifications, and surveys
Export Compliance
- Oversee compliance with U.S. export control laws and regulations, including ITAR and EAR
- Develop and maintain export compliance policies, procedures, and training
- Manage licensing, product classification, screening, and recordkeeping processes
- Provide legal guidance on international transactions and technology transfers
- Review and approve export-related requests and coordinate with external counsel as needed
Government Filings & Registrations
- Oversee compliance-related filings and registrations (e.g., SAM.gov)
- Manage government solicitations and ensure appropriate internal review and routing
Required Qualifications:
Experience:
o 5–8 years of relevant legal experience, preferably with exposure to the defense industry and U.S. Government contracting
o Strong background in corporate and commercial law within regulated environments
o Experience working with regulatory agencies and compliance frameworks
o International or cross-border business experience preferred
o Prior supervisory experience: this role includes one direct report

Education:
- Bachelor’s degree and Juris Doctor (JD) required
- Advanced degrees or certifications (MBA, LLM, compliance-related certifications) a plus
Working Conditions:
- This position operates in a hybrid work environment.
- The employee is expected to work on-site at the company’s office in Manchester, NH one (1) day per week, with the remaining work being done remotely.
- Standard business hours apply, with flexibility as needed to meet business demands.
- This role requires regular use of a computer, phone, and other standard office equipment.
- Occasional additional in-office presence and out of state travel may be required for meetings, training, or business needs, with advance notice when possible.
- Reliable high-speed internet access and a dedicated remote workspace are required for remote workdays.
