Job Description

SUMMARY

As in house Legal Counsel, you will be the internal lead on key legal matters for gorjana. You will coordinate and collaborate with external counsel, and seek partnership and guidance from internal teams to address legal matters as it relates to protecting the best interest of the business.  You will be expected to stay updated with changes in local, state, and federal laws and regulations. This role is expected to see results through sound legal judgment, coupled with the ability to translate business concepts to clear, legal drafting that protects the business and supports achieving our goals.

 

RESPONSIBILITIES

Leasing Management

  • Provide executive summaries for all new contracts and Leases prior to signature. 
  • Draft, negotiate, and review commercial lease agreements on behalf of gorjana, ensuring compliance with relevant laws.
  • Advocating for the businesses interests during the leasing process, including handling issues like lease amendments, subleases, TA and assignments.
  • Ensure all Leases in Occupier are abstracted, updated, and accurate for team use and reporting. 
  • Manage the organization and filing of all company Leases, ensuring key-dates are met and shared with key business partners.

 

General Contract Review and Management

  • Draft, review, and negotiate contracts with vendors, suppliers, and other business partners. 
  • Manage the organization and filing of all company contracts - including management of central contract repository/system, renewals and ensuring key-dates are met and shared with key business partners.
  • Advise on contract amendments and work with external partners/counsel as appropriate to adopt and modify in the businesses best interests.

 

Compliance and Risk Management

  • Own corporate governance efforts, including maintaining compliance standards for our international supply base/vendors.
  • Provide legal support for company compliance initiatives/requirements.
  • Assist in the development, implementation, and maintenance of our privacy program in accordance with applicable privacy laws and regulations, including the California Consumer Privacy Act and the General Data Protection Regulation. 
  • Ensure the company adheres to relevant consumer protection laws, ADA, data privacy regulations, and other legal requirements related to retail brick and mortar, and digital operations. 
  • Identify potential legal risks within the company and propose preventative measures. 
  • Manage trademark registrations and ensure protection across necessary categories. 
  • Advise on trademark and copyright issues related to brand protection. 
  • Manage IP issues as needed.

 

Other Matters

  • Work with outside counsel, combining their advice with your own analysis and feedback from internal stakeholders to provide practical guidance.
  • Assist with complex legal disputes, including managing outside counsel in litigation matters. 
  • Provide legal advice and guidance to the executive team and other company departments as needed - for example; general employment, workers compensation, health & safety matters.
  • Conduct legal research and stay updated on changes in laws that may affect the company.
  • Support mergers and acquisition activity and associated financial transactions. 
  • Manage global expansion and subsidiary management activities for domestic and international business.
  • Develop and implement legal strategies to protect the company's interests.

REQUIREMENTS:

 

  • JD from an accredited law school. 
  • Admission & current good standing in the CA state bar.
  • This role requires proximity within Southern California.
  • Background in managing legal disputes and litigation is preferred.
  • Experience in leasing and negotiating lease agreements preferred 
  • Strong background in corporate law, contract law, and compliance. 
  • Strong negotiation, communication, and interpersonal skills. 
  • Analytical and problem solving skills with a strong attention to detail. 
  • Ability to understand and be flexible to the needs of the business.    
  • Must be over the age of 18. 
  • Must be able to work evenings, weekends, and holidays as needed - understanding the importance of supporting the needs of a retail business
  • Ability to travel as needed.
