This role will be performed onsite in the Chicago office.


Adventurous Journeys Capital Partners (“AJCP”) is seeking a Corporate Paralegal to work on corporate governance, real estate transactions, and contract management to support its rapid growth across various investment platforms focused on the hospitality, mixed-use, and single-family rental sectors.

ABOUT THE ROLE

The Corporate Paralegal will play a critical role in supporting all teams, assist with all stages of domestic and international corporate transactions; own the organization, tracking, and maintenance of AJCP’s legal entities; take the lead on corporate governance formalities such as board meetings, resolutions, officer and director certifications; and manage commercial contracts and essential deadlines. 


WHAT YOU WILL DO

  • Prepare, manage and maintain documents integral to legal entity management, including entity formation and dissolutions, registered agent communications, foreign qualifications, consents, organizational documents and annual reports.
  • Draft, review, retain and organize all corporate minute books and significant corporate agreements, including operating agreements, corporate officer elections and appointments.
  • Keep our legal entity management database updated, properly identifying and inputting entity characteristics, data, and documents in collaboration with the responsible Accounting or Tax team colleagues.
  • Obtain EINs and work with appropriate team members to complete and maintain W9s.
  • Assist with investment transactions, including the preparation of structure charts, the review of legal agreements, and the due diligence process of acquisitions, financings, refinancings, and dispositions.
  • Own the Know Your Customer process, responding to information queries from internal and external sources with proper judgment of when to escalate certain requests.
  • Perform initial review and revisions of template agreements such as nondisclosure agreements.
  • Support the Legal team in commercial contract negotiations, ensuring accuracy and compliance with the Company's standard contractual clauses.
  • Set up and maintain a commercial contracts database through the entire contract lifecycle. 
  • Maintain a comprehensive calendar of contract renewals and deadlines.
  • Coordinate with internal stakeholders to ensure timely action on renewals/terminations and compliance with contractual obligations.
  • Assist with preparing, organizing, and maintaining promote documentation. 
  • Provide liquor licensing support to our property management teams, including preparing application materials and renewals, coordinating with internal officers and signatories, and liaising with external counsel as needed. 
  • Work closely with internal and external counsel on a regular basis to support of the above activities.

AJCP is seeking a highly-motivated individual who enjoys working in a fast-paced, but disciplined, entrepreneurial environment. The ideal candidate will have significant experience managing legal entities and corporate minute books in a complicated organizational structure. This role also requires the following capabilities: 

  • Meticulous attention to detail and an ability to use reasoning and critical thinking skills to with the judgement to escalate issues appropriately.
  • Strong analytical skills especially in reviewing contracts.
  • Proven organizational ability to manage deadlines, set priorities, handle multiple tasks, and follow-up on projects as needed.
  • Strong written and verbal communication skills for effective collaboration across internal teams and external partners.
  • The ability to work independently, adapt to changing priorities, maintain patience in high pressure situations, and take initiative where appropriate.
  • Experience managing confidential information with professionalism and unquestionable integrity.

YOUR QUALIFICATIONS

Required

  • 5+ years of experience as a corporate paralegal, with hands-on entity governance and contract management responsibilities; in-house experience preferred.
  • Experience supporting complex multi-entity corporate structures.
  • Proficiency with legal entity management and contract lifecycle management tools.
  • Strong drafting, organizational, and document-management skills.

Preferred 

  • Paralegal Certificate from an ABA approved program or national paralegal certification.
  • Experience in real estate, private equity, financial services or investment management.
  • Experience implementing or improving legal processes or systems.

In compliance with local law, we are disclosing the compensations, or range thereof, for roles that will be performed in Illinois. Actual salaries may vary based on various factors including but not limited to location, experience, role and performance. The range listed is just one component of AJCP’s total compensation package for employees. Pay Range: $90,000-$110,000. Other rewards may include annual bonuses. In addition, we provide a variety of benefits to employees, including health insurance coverage, life and disability insurance, a retirement savings plan, paid holidays and paid time off.
