Job Summary of the Legal Specialist

This position will function as an individual contributor in an office setting who provides reviews of contractual agreements for products and repairs, and provides recommended changes.  This position is administrative, clerical, and in support of confidential items.



 


1. Contracts

  • Prepare and edit NDA’s and contractual agreements between the company and customers or vendors
  • Research regulations to guarantee compliance policies follow current laws
  • Contract review and negotiations of terms and conditions (not pricing), manage all contractual obligations between customers, suppliers, service providers, consultants, and the company
  • Write the company T&C’s for the sale (customer) and purchase (vendor) of goods
  • Review all documents that obligate the company (facilities, engineering, sales, finance, IT, HR, etc.)
  • Protect ACR assets and intellectual property; oversee trademarks and patents, etc.
  • Complete awareness of contractual obligations throughout the organization (except mergers and acquisitions)
  • Risk and mitigation strategies from a legal standpoint.     
    • Identify specific contractual risks and determine appropriate mitigation plans and strategies.   
    • Support the execution of these strategies with other functional organizations
  • Delegated to sign the following documents on behalf of the organizations:
    • Visitor requests
    • Non-modified non-disclosure agreements
    • Authorization for distribution letters
  • Coordinate Certificates of Insurance for customers and the insurance application process
  • Manage ContractLogix – Doc control system for all things legal

2. Trade/Export Compliance

  • Manage internal Export Compliance Program (ECP) to ensure compliance with federal regulations and requirements such as the International Traffic in Arms Regulations (ITAR), Export Administration Regulations (EAR), Office of Foreign Assets Control (OFAC), the Federal Acquisition Regulations (FAR),  Customs Trade Partnership Against Terrorism (CTPAT), and Automated Commercial Environment (ACE) with the U.S. Customs and Border Protection (CBP),  as applicable.
  • Work with the Empowered Official to develop a comprehensive compliance program
  • Serve as a liaison with the Departments of Commerce, State Department, and Treasury, or any other federal agency regarding,g export‐related matters and travel to embargoed and sanctioned countries.
  • Develop and maintain internal policies and procedures to ensure compliance with trade/export regulations
  • Provide various methods of training and guidance to management and all functional organizations to assure corporate compliance with export controls, international travel, and related issues, including embargoed and sanctioned countries
  • Maintain the Global Trade Management database for visitor management and denied party screening following internal policy
  • Specific duties and responsibilities will include:
    • interpret ITAR and EAR
    • determine licensing requirements or exceptions
    • Establish Project Technology Control Plans, if necessary
    • Determine the Export Control Classification Number (ECCN)
    • screen end users, end-use certificates, and countries for exported technology
    • screen subcontractors and visitors to controlled facilities
    • Determine international travel requirements, including those for embargoed and sanctioned countries
    • establish procedures for documenting and monitoring ongoing projects as required by the regulations
    • Draft and submit license applications and institutional registrations when necessary
    • Draft and maintain a manual of standard operating procedures to provide consistency and compliance for all offices involved in exports and travel matters
  • Conduct periodic internal audits of shipping records and documents to ensure compliance with export regulations.
  • Other duties as assigned by management
 

Required skills/abilities of the Legal Specialist

  • Excellent oral and written communication skills
  • In-depth knowledge of procurement regulations, contract documents, and legal specifications

  • Can work with minimal guidance and oversight
  • A high level of confidentiality is a must

 

Knowledge, Education, and Experience of the Legal Specialist

  • Bachelor’s degree in law, Business Administration, or a relevant field
  • A minimum of 1 year’s experience in a similar role
  • Paralegal experience is a plus
  • User knowledge of ContractLogix is a plus
