Position Summary
We are looking for a Corporate Paralegal to support our corporate attorneys and clients on complex transactions for both private and public company clients. This is an ideal time to join a dynamic and growing firm! This role can be done virtually from a home office located anywhere in the US.
Essential Functions & Responsibilities
- Formation, maintenance, and dissolution of corporate entities (corporations, LLCs, etc.)
- Corporate records management
- Stock option plan implementation and administration
- Securities filings
- Venture capital financing
- Mergers & Acquisitions support
- Coordinate closings and prepare related documents
- Prepare legal opinions and assemble opinion back-up
Essential Capabilities
- Ability to work with and take direction from multiple individuals, to communicate well in a remote setting, as well as the ability to work independently
- Ability to learn new software programs
- Good planning, prioritization, and organizational skills
- Excellent administrative/secretarial proofreading skills, including attention to detail
- Cooperation and the ability to collaborate in a team, including cross-office
- Ability to problem solve and use sound judgment in dealing with highly confidential information
- Excellent interpersonal, verbal, and written communication skills
- Ability to work in a fast-paced, deadline-driven environment
- Positive and professional demeanor
Education & Experience
- 5+ years of corporate paralegal experience
- High school degree required
- Paralegal Certificate preferred, but not required.
- Bachelor’s degree preferred.
