Position Summary

We are looking for a Corporate Paralegal to support our corporate attorneys and clients on complex transactions for both private and public company clients.  This is an ideal time to join a dynamic and growing firm!  This role can be done virtually from a home office located anywhere in the US.

Essential Functions & Responsibilities

  • Formation, maintenance, and dissolution of corporate entities (corporations, LLCs, etc.)
  • Corporate records management
  • Stock option plan implementation and administration
  • Securities filings
  • Venture capital financing
  • Mergers & Acquisitions support
  • Coordinate closings and prepare related documents
  • Prepare legal opinions and assemble opinion back-up
Qualifications

Essential Capabilities

  • Ability to work with and take direction from multiple individuals, to communicate well in a remote setting, as well as the ability to work independently
  • Ability to learn new software programs
  • Good planning, prioritization, and organizational skills
  • Excellent administrative/secretarial proofreading skills, including attention to detail
  • Cooperation and the ability to collaborate in a team, including cross-office
  • Ability to problem solve and use sound judgment in dealing with highly confidential information
  • Excellent interpersonal, verbal, and written communication skills
  • Ability to work in a fast-paced, deadline-driven environment
  • Positive and professional demeanor

 

Education & Experience

  • 5+ years of corporate paralegal experience
  • High school degree required
  • Paralegal Certificate preferred, but not required.
  • Bachelor’s degree preferred.
