§ Duties:
As a Senior Associate, you will lead sophisticated transaction teams and serve as a primary advisor to clients throughout the lifecycle of M&A.
⨖ Advising startups and emerging companies on business formation, equity financings, and long-term strategic growth.
⨖ Executing high-value mergers, acquisitions, dispositions, and complex corporate carve-out transactions.
⨖ Managing transaction teams through the drafting and negotiation of primary deal documents and specialized agreements.
⨖ Providing guidance on capital markets transactions and public company disclosure requirements.
⨖ Mentoring and training junior associates to maintain the firm's standard of technical and professional excellence.
§ Qualifications:
⨖ Juris Doctor (J.D.) degree from an ABA-accredited institution.
⨖ Active Bar License in good standing in Massachusetts or New York or ability to waiver in by comity.
⨖ Four to six (4-6) years of post-Law School private practice firm experience within a corporate law and M&A practice area.
⨖ Proven ability to lead deal teams and manage the intricacies of large-scale transactional matters.

⨖ A stellar academic background coupled with significant experience in a major, peer-level law firm setting.
⨖ Strong analytical capabilities and a commitment to fostering a collaborative, positive workplace culture.
⨖ Experience in high-stakes negotiations and the ability to interact effectively with C-suite leadership and startup founders.
⨖ Mastery of drafting tailored legal instruments for diverse industry sectors, particularly those at the intersection of tech and government.
