Job Description

POSITION SUMMARY
Provides high-level administrative support to the Legal Department and Board of Directors and intermediate-level paralegal support for corporate governance, general corporate and transactional matters, and litigation. 
 
ESSENTIAL REQUIREMENTS
  • Completes a variety of critical tasks for the Legal Department, including managing active appointment calendars, completing expense reports, composing correspondence, assisting in revising standard legal documents and policies.
  • Provides direction and drafting assistance to operations personnel regarding commercial loan transactions under the direction of Legal Department counsel.
  • Reviews trust agreements, powers of attorney, court filings, estate matters, guardianships, and other legal documents under the direction of the Legal Department counsel.
  • Prepares responses to discovery/document production requests, subpoenas, garnishments, and levies by coordinating with other business units, outside counsel, and regulators to identify, collect and review responsive documents.
  • Coordinates annual regulatory examinations of the Bank.
  • Works collaboratively with the General Counsel on maintenance and monitoring related to certain regulatory compliance requirements.
  • Assists in preparing Board of Directors meeting materials, reports and minutes and related recordkeeping. 
  • Coordinates and manages corporate governance materials relating to Bank subsidiaries.
  • Assists in preparing litigation holds and related reports.
  • Processes incoming mail for the Legal Department.
  • Coordinates review and payment of legal invoices.
  • Organizes and expedites incoming legal requests.
  • Completes required legal and compliance training.
  • Understands laws and regulations that apply to the position and complies with the requirements.
NON-ESSENTIAL FUNCTIONS
Performs all other duties as assigned.
  
EXPERIENCE/SKILLS
  • Minimum five (5) years of relevant legal experience in a law firm, in-house legal department or a compliance department, or equivalent experience in a financial services organization.
  • Strong PC skills--proficiency in Microsoft Word and Excel required.
  • Intermediate-level legal and internet research skills.
  • Professional demeanor and the ability to exercise diplomacy and maintain confidentiality at all times.
  • Self-starter, strong organizational skills.
  • Ability to handle multiple tasks in a fast-paced environment.
  • Ability to meet specific deadlines.
  • Excellent written and verbal communication skills.
  • High degree of attention to detail.
  • Ability to work independently.
EDUCATION
Associate’s degree in business or related fields required. Bachelor’s degree in business or related fields preferred. Paralegal certificate required.

TRAVEL REQUIREMENTS
Minimal or occasional travel for meetings, projects or training as needed.
