Job Description

Summary:

Under the general supervision of the Director of Practice Support, and in accordance with established policies and procedures, the paralegal supports the Financial Institutions Group by performing a variety of tasks related to transactions, presentations, business information, and client communications. This role involves directly daily interaction with attorneys and support staff and requires strict confidentiality regarding firm matters.

Essential Duties and Responsibilities:

  • Collaborate with attorneys and clients on all phases of a corporate transaction, including due diligence, negotiating sessions, transaction signings, research, and transaction closings.
  • Proactively compile data points required for bank applications, including by collaborating with internal economists on competitive analyses.
  • Prepare drafts of regulatory applications to state and federal banking agencies.
  • Support departmental initiatives and special projects.
  • Conduct legal and regulatory research for attorneys.
  • Perform antitrust market share analysis for bank mergers and acquisitions.
  • Retrieve forms from the Federal Reserve, Office of the Comptroller of the Currency, and Federal Deposit Insurance Corporation.
  • Prepare and file applications with relevant government agencies.

Knowledge, Skills, and Abilities Required:

  • Ability to work independently and as part of a team.
  • Ability to work efficiently in a fast-paced, highly pressured environment and multi-task and prioritize numerous tasks.
  • Excellent organizational skills and attention to detail.
  • Excellent written and verbal communication skills.
  • Flexibility to work extended hours, including evenings, weekends, and holidays, as needed. 
  • Desire to work closely and directly with a group of specialized lawyers on transactions, governance and related matters.

Education and Experience:

  • Bachelor’s degree required.
  • Minimum of four years related experience in a transactional law practice, preferably with exposure to financial institutions.

Working Conditions:

  • Normal office environment with little exposure to excessive noise, dust, temperature, etc.

Wachtell, Lipton, Rosen & Katz provides competitive compensation and benefits to its employees ensuring that we attract and retain the most talented individuals.  The expected annual salary range for this role is between $115,000 and $130,000. The base salary offer is based on a variety of factors which includes, but not limited to, qualifications, education and experience.
